Position Overview:
The Manager / Senior Manager Equity Administration is responsible for the endtoend administration of the Companys equity compensation programs and supporting the companys overall compensation planning and execution
This role ensures accurate equity award administration compliance with applicable tax and securities regulations and strong crossfunctional coordination across Finance/Accounting Legal Payroll and external vendors. The position plays a critical role in maintaining data integrity strengthening internal controls and supporting audit readiness in a publiccompany environment.
While the role includes handson equity administration it is also designed to be strategically oriented. The successful candidate will lead equityrelated initiatives drive process improvements support governance and audit activities and help optimize the Companys equity administration platform. Compensation support is included as part of the role while equity administration remains the core focus.
Job Responsibilities:
Equity Administration Governance & Program Leadership
Lead the endtoend administration of the Companys equity compensation programs across the U.S. & UK including RSU PSU and RSA grants vesting releases forfeitures cancellations and terminations.
Oversee executive and director equity administration including grant processing vesting events and coordination with Legal brokers and the transfer agent.
Analyze performancebased equity metrics validate LTIP data and support quarterly valuation reporting and dividend equivalent calculations with a focus on accuracy completeness and control discipline.
Ensure the integrity of equity transactions tax withholding termination activity and vendor data through strong reconciliation practices documented controls and proactive issue resolution.
Serve as a primary point of contact for complex employee and executive equity inquiries translating technical concepts into clear practical guidance.
Compliance Controls & Audit Readiness
Partner with Legal to support SECrelated equity requirements including Section 16 filings (Forms 3 4 and 5).
Support quarterly reviews and yearend audits by preparing equity documentation reconciliations and reporting while helping ensure audit readiness.
Maintain and enhance internal controls procedures and documentation related to equity administration and reporting.
Manage the Insider Trading List and Trading Window in accordance with Company policy.
Partner closely with Payroll to ensure accurate equityrelated tax withholding and reporting.
International Equity Administration (UK)
Administer equity programs in the United Kingdom ensuring compliance with local tax reporting and regulatory requirements.
Coordinate required filings reporting and ongoing administration with internal stakeholders and external vendors.
Support UK equity processes with a focus on risk management compliance and operational consistency.
Platform Optimization Partnership & Process Improvement
Serve as the functional owner of the Companys equity administration platform (e.g. Equity Edge) identifying opportunities to better leverage the system to improve reporting controls automation and operational efficiency.
Liaise with the Companys transfer agent brokers and equity administration vendors to ensure accurate data flows and timely issue resolution.
Partner crossfunctionally with Legal Finance/Accounting Payroll HR and executive stakeholders to support effective equity program execution.
Lead or support equityrelated initiatives focused on process improvement governance documentation education and employee experience.
Compensation Administration
Partner with Total Rewards to support annual and offcycle compensation processes including merit bonus equity promotions and market adjustments.
Prepare reporting and analytics to support compensation decisions and budget tracking.
Conduct job evaluations and market pricing using compensation survey data via MarketPay.
Help support survey input and job matching in MarketPay.
Qualifications
Qualified candidates are typically expected to have:
Manager level: 5 years of equity plan administration or a combination of total rewards operations compensation and/or equity administration experience with demonstrated ownership of equity programs process improvement initiatives controls and crossfunctional problem solving.
Senior Manager level: 7 years of equity plan administration experience or a combination of total rewards operations compensation and/or equity administration experience. Leadership of equityrelated initiatives platform optimization governance or audit support and strategic decisionmaking in a publiccompany environment.
Direct recent ownership of endtoend equity administration in a publiccompany environment.
Experience administering equity awards including RSUs PSUs RSAs and executive equity.
Strong understanding of equityrelated tax accounting legal and regulatory requirements including audit and SEC considerations.
Experience supporting SECrelated equity requirements including Section 16 filings (Forms 3 4 and 5).
Demonstrated ability to operate in a highly regulated deadlinedriven environment with exceptional attention to detail.
Proven ability to partner crossfunctionally with Legal Finance/Accounting Payroll HR and external vendors.
Experience working with equity administration platforms (e.g. Equity Edge) and managing vendor relationships.
Strong written and verbal communication skills with the ability to explain complex equity concepts clearly to employees and executives.
Preferred Qualifications
CEP or similar equityrelated certification
Experience administering equity programs in the United Kingdom including local tax reporting and compliance requirements
Inhouse equity administration experience with sustained ownership of execution controls and program outcomes
Experience supporting executive and director equity including coordination with brokers transfer agents and Legal
Exposure to compensation support activities such as participation in annual or offcycle compensation processes reporting analytics or market pricing
Experience with HRIS or compensation tools connected to equity administration (e.g. Workday MarketPay)
The base salary range for this role is:
Manager / Sr. Manager: $114974 - $146249 - $172039
Offers near the high end are uncommon but may be considered for candidates with exceptional experience and skills and are dependent on the facts and circumstances of each case. You may be eligible for an annual discretionary bonus and an annual discretionary stock award to be discussed during the interview process. An annual pay rate and total compensation package is generally determined by the candidates experience knowledge education skills performance and abilities as well as internal equity company performance and alignment with market data.
