Capital Power Corporation is seeking an exceptional Corporate Paralegal to join our inhouse legal department during a period of growth and change. This role is wellsuited to a candidate who is comfortable operating in a fluid environment and helping to build mature and improve legal systems processes and ways of working.
Reporting to the VP Legal you will work closely with lawyers and other professionals across a broad range of corporate securities governance regulatory finance and commercial addition to providing highquality paralegal support you will be an active contributor to the ongoing development and evolution of the corporate legal function.
You will contribute to our team by:
Providing advanced paralegal support across corporate securities regulatory governance and commercial matters.
Maintaining minute books and overseeing routine filings for a complex multi-tiered corporate structure with entities located in both the U.S. and Canada.
Supporting and assisting with corporate records governance documentation and regulatory filings.
Drafting and coordinating execution of routine resolutions.
Assisting with the development maintenance and continuous improvement of templates standard form documents and reference materials.
Supporting and helping to build refine and document legal workflows systems and processes including intake tracking and knowledge management tools.
Triaging and coordinating requests for legal support exercising judgment and discretion in a fastmoving environment.
Identifying gaps inefficiencies or opportunities for improvement and proactively proposing practical scalable solutions.
Building strong collaborative working relationships across Legal Compliance Finance and other internal teams as well as with external advisors.
Developing and maturing record-keeping systems.
What you bring to the role:
Education:
Diploma in Paralegal Studies or equivalent.
Education equivalency may be considered.
Experience:
59 years of relevant experience with a strong preference for prior inhouse corporate legal experience.
Ideal candidates will have received initial formal training in a large corporate law firm prior to transitioning inhouse.
Ideal candidates will have experience working with limited liability companies with an emphasis on entities formed in Delaware.
Experience with complex and evolving corporate structures and corporate-record keeping and filing needs (with preference for candidates experienced with cross-border entities).
Demonstrated experience supporting or contributing to the maturation of legal functions including systems processes workflows and governance practices.
Experience supporting a highly regulated organization and/or exposure to regulatory or securities filings is an asset (or a demonstrated willingness and ability to learn quickly).
Ideal candidates will have experience with in-housing corporate minute books including implementing appropriate entity management systems (e.g. Athennian).
Technical & Professional Skills:
Strong written and verbal communication skills.
Advanced organizational analytical and problemsolving capabilities.
Ability to manage multiple priorities and adapt quickly as needs evolve.
Skilled in making significant contributions and sometimes providing thought leadership and guidance in relation to complex projects and initiatives including drafting and executing work plans. Familiarity with project management considered an asset.
Ability to carefully handle highly confidential and sensitive information from across the enterprise including from Finance Business Development and People & Culture.
Proficiency with Microsoft Office and comfort learning new tools systems and platforms.

Working Conditions:
Hybrid office/workfromhome environment.
This role is ideally suited for candidates based in Edmonton. Strong candidates based in Calgary may also be considered.
Minimal travel may be required to Capital Power facilities or other offices.
Requires occasional moving/lifting up to 10 lbs.
Additional Details:
Must be legally eligible to work in Canada.
The successful candidate will be required to complete education verification reference checks and a criminal record check.
