Organizational Setting and Reporting Relationship

The position of Transaction Support Officer is assigned to the Transaction Support Division (PSTS) within the Private Sector Operations Department (PSOD). You will be based at our Headquarters in Manila Philippines.

You will report to the designated International Staff and Officer as applicable.

Your Role

As a Transaction Support Officer you will operational and administrative functions for PSODs Corporate Governance Due Diligence (CGDD) activities in support of PSODs pipeline portfolio and programs. You will focus and support all matters relating to CGDD in accordance with ADBs CGDD Guidelines for Nonsovereign Operations.

You will:

a. Corporate Governance Due Diligence

  • Oversee engagement and coordination with PSOD deal teams in connection with the conduct of corporate governance due diligence for PSOD projects regardless of type of project or product. This may include but not be limited to management of relevant stakeholder relationships presentation to and negotiations with client on action plans and recommendations and integration of findings and recommendations in relevant PSOD deal transaction documentation.
  • Conduct and lead in-depth corporate governance due diligence exercises and/or assessments for both PSOD pipeline and portfolio projects and provide technical inputs analysis and operational support on any findings resulting from completion of the due diligence exercise.
  • Draft action plans and recommendations based on findings from completed due diligence exercises and/or assessments and present the same before PSOD deal teams clients and other relevant stakeholders.
  • Draft the terms of reference and oversee the selection and evaluation of third-party governance specialists to undertake specific tasks or analyses as may be identified in connection with any due diligence or assessment for PSOD projects.
  • Direct supervise and evaluate work plans and outputs of third-party governance specialists which may include comparative analyses between national standards and ADB / international policy requirements and best practices on corporate governance.
  • Lead the preparation of template corporate governance policies and documentation for potential reference and use by PSOD clients.
  • Contribute to the formulation and updates of any PSOD policies processes protocols and procedures which may involve and/or require corporate governance elements or inputs.
  • Oversee and support the development of knowledge products including desk research conducting interviews writing drafts reviewing and commenting on drafts managing review processes and overseeing the design production and dissemination of knowledge products.
  • Work closely with other workstreams (i.e. IDD team Safeguards teams) and PSOD deal teams on miscellaneous matters which may require and/or benefit from corporate governance-related inputs. This may include providing support where requested or required on any extended annual review process (XARR) for PSOD projects which may involve the implementation of corporate governance improvements.

b. Other Duties

  • Other duties as assigned which are reflected in the incumbents work plan.

You will need:

  • Bachelors degree in in law finance accounting business administration or related fields preferably with advanced training.
  • At least 8 years of relevant professional experience.
  • Demonstrated experience working on private sector transactions across several industry sectors.
  • Excellent research and information gathering skills (desk research conducting interviews engagement with external experts at a technical level).
  • Excellent oral and written communication skills in English is required including the ability to clearly and concisely prepare present and discuss findings and recommendations.
  • Strong analytical and organizational skills.
  • Willingness to travel if required.
  • Ability to balance multiple work priorities effectively in a changing environment.
  • Demonstrated ability to maintain the highest ethical standards of professional and personal conduct.
  • Comprehensive knowledge and understanding of multilateral organizations requirements operations policies particularly with respect to Corporate Governance.
  • Proven ability to work independently on assigned transactions areas of analysis and research which have well-defined scope and steps.
  • Strong planning and organizing skills to handle many tasks with deadlines.
  • Ability to develop rapport internally and externally in a multicultural environment.
  • Ability to work collaboratively with teams as a constructive team member.

Additional Information

This appointment is open to internal and external applicants.

This is a fixed-term appointment for an initial fixed period of 3 years. At the end of the initial period this appointment may at the option of ADB be extended once for up to 2 years converted to a regular appointment or ended on its expiration date. This decision will be made in the overall interest of ADB that: (a) it will require Staffs particular blend of skills and experience in the foreseeable future; and (b) Staffs performance is satisfactory and they are suitable for further employment.
