About the Position
Flora Food Group is seeking aParalegal Corporate Secretarywith 35 years of experience and a legal background to support global corporate governance and compliance. Reporting to the Corporate Secretary this role will help ensure effective oversight of approximately 70 legal entities worldwide. Fluency in English and strong organizational skills are essential.
- Corporate Governance & Records: maintain centralized oversight of corporate records for 70 entities including directors registers shareholder registers and articles of association ensuring all information isaccurateandup-to-date.
- IPO Readiness Company Book: ensure the Company Book - a comprehensive summary of the organizations legal entities and documentation is complete current and readily available.
- Compliance Procedures: implement and manage procedures for local annual reporting obligations and event-driven changes (e.g. new shareholder or director appointments) across alljurisdictionsto ensure each entityremainsin full compliance with local regulations.
- Disclosure Committee Support: assist in developing processes foridentifyingand reporting potential material events to the Disclosure Committee. Provide ongoing administrative support to this committee once in operation.
What Does It Take to Be Successful
- Experience & Education:35 years of experience in a corporate legal corporate secretarial or paralegal role. A legal academic background (law degree or paralegal certification) isrequired.
- Corporate Governance Knowledge:familiarity with corporate governance practices and compliance requirements for multinational entities. Experience managing documentation for multiple legal entities is highlyadvantageous.
- Communication:fluent in English with excellent written and verbal communication skills. Able to clearly liaise with internal and external stakeholders across different countries.
- Organizational Skills:exceptional attention to detail and ability tomaintainorganized records fora large number ofentities. Capable of handling multiple deadlines (annual filings reports etc.) reliably.
- Technical Proficiency:proficiencyin Microsoft Office (Word Excel PowerPoint) and the ability to quickly learn and use any internal governance or document management systems.
- Adaptability:willingness to support new initiatives (such as preparing for an IPO and standing up a disclosure committee) and to learn on the job. Prior experience with IPO processes or disclosure committees is a plus but not mandatory.
