Location: Toronto
We are seeking a Equity Capital Markets Counsel to join our Corporate and Securities team in Canada. The ideal candidate will bring strong experience executing transactions under the Securities Act of 1933 including high-yield bonds Rule 144A offerings Eurobonds and EMTN programs along with robust transactional and regulatory capabilities across the equity capital markets lifecycle.
Responsibilities:
- Provide legal and regulatory support on IPOs and equity capital markets transactions led by the bank.
- Advise internal deal teams on structuring documentation and compliance with securities laws and stock exchange requirements.
- Draft review and negotiate prospectuses underwriting agreements and transaction-related documentation.
- Collaborate with internal teams clients and external parties to ensure smooth execution of transactions and compliance with legal and regulatory requirements.
Qualifications:
- 5 years of experience in equity capital markets securities law or related corporate finance practices.
- Strong knowledge of SEC regulations bond offerings covenant structures and credit rating considerations.
- Minimum of 3 years PQE as a Equity Capital Markets (IPO) preferably with a reputable law firm or financial institution.
- In-depth knowledge of IPO processes equity offerings and capital markets transactions.
- Familiarity with Canadian listing rules and relevant laws and regulations
- Excellent communication and interpersonal skills to effectively collaborate with clients and internal teams
Compensation:
The estimated total compensation for full-time Axiom attorney roles is $00 per year and for non-attorney roles is $ per year.Compensation decisions are based on various factors including but not limited to experience skills certifications location and business needs.
