Join Our Team as an Attorney at Axiom

Location: Toronto

We are seeking a Equity Capital Markets Counsel to join our Corporate and Securities team in Canada. The ideal candidate will bring strong experience executing transactions under the Securities Act of 1933 including high-yield bonds Rule 144A offerings Eurobonds and EMTN programs along with robust transactional and regulatory capabilities across the equity capital markets lifecycle.

Responsibilities:

• Provide legal and regulatory support on IPOs and equity capital markets transactions led by the bank.
• Advise internal deal teams on structuring documentation and compliance with securities laws and stock exchange requirements.
• Draft review and negotiate prospectuses underwriting agreements and transaction-related documentation.
• Collaborate with internal teams clients and external parties to ensure smooth execution of transactions and compliance with legal and regulatory requirements.

Qualifications:

• 5 years of experience in equity capital markets securities law or related corporate finance practices.
• Strong knowledge of SEC regulations bond offerings covenant structures and credit rating considerations.
• Minimum of 3 years PQE as a Equity Capital Markets (IPO) preferably with a reputable law firm or financial institution.
• In-depth knowledge of IPO processes equity offerings and capital markets transactions.
• Familiarity with Canadian listing rules and relevant laws and regulations
• Excellent communication and interpersonal skills to effectively collaborate with clients and internal teams

Compensation:
