Job Title: Corporate & Transactional Attorney
Job Location: Boca Raton or Miami Florida (Hybrid)
Duration: Full-time
Position Overview:
A well-established law firm is seeking an experienced Corporate & Transactional Attorney to join its growing South Florida practice. This role offers the opportunity to work closely with middle-market and entrepreneurial clients on a broad range of corporate and commercial transactions.
Key Responsibilities
- Advise clients on a variety of corporate and transactional matters including mergers and acquisitions asset and stock purchases joint ventures and corporate restructurings
- Draft review and negotiate complex transaction documents including purchase agreements operating agreements shareholder agreements and commercial contracts
- Counsel clients on entity formation governance and ongoing corporate compliance
- Support due diligence efforts and manage transactions from initial structuring through closing
- Collaborate with attorneys across corporate tax real estate and finance practices
- Maintain direct client contact and contribute to business development initiatives
Qualifications
- JD from an accredited law school
- 6 years of corporate and transactional experience at a law firm or in-house legal department
- Active membership in the Florida Bar (required)
- Strong experience with M&A and general corporate transactions
- Spanish language skills preferred but not required
- Excellent drafting negotiation and client management skills
- Ability to handle matters independently while working collaboratively
