The SEC Regulations Leader is primarily responsible for advising and providing technical expertise to engagement teams and members of the National Professional Standards Group (NPSG) on complex SEC reporting and compliance matters and for the development and maintenance of related reporting manuals tools templates training and thought leadership for the Assurance line of business.

Quality

  • Responsibleforthedevelopmentand maintenance ofthefirmsinterpretiveguidancerelated to SECreportingand compliancemattersincludingassociation with registered and exemptsecurityofferings.

  • Responsible forthe curriculum design and oversight ofnationally deliveredtrainingrelated to SECreporting and compliancemattersinclusive of exempt offerings.

  • Responsibleforrelevant sections ofthe firmsmanuals ensuring they are currentaccurateand completewith respect to SECreporting and compliancematters inclusive of exempt offerings.

  • Consults with engagement teams members of the Professional Practice Office (PPO) and Technical Industry Leaders asrequested(or required by firm policy) on complex SEC reporting and compliance mattersexemptofferingsand certain accounting matters.

  • Assistswith the development and maintenance of the firms interpretive accounting guidance and educational training courses which may requirecollaboratingwith other members of the NPSG audittaxand consulting practices to enable others to address existing and new accounting standards emerging practiceissuesand firm initiatives.

  • Monitorsand reportson the standard-setting activities of the Financial Accounting Standards Board and International Accounting Standards Board within theindividualsareas of expertise including drafting of the firms comment letters in response to proposed accounting standards updates.

  • Collaborates among the NPSG Office of Risk Management (ORM) and the National SEC Practice Leader to continuously improve National Office service to engagement teams and clients.

Leadership

  • Leadsdevelopment ofthought leadershipon matters related to SECreporting and compliance matters including the firms responses to SEC proposals.

  • Develops andmaintainsrelationships with counterparts at otherpublic accounting firms to engageoncomplexand emergingfinancial and SEC reportingmatters.

  • Leads educational training courses on subject matters within the individuals areas of expertise including drafting the firms responses to proposedaccounting standards updatesandparticipatesin the firms quarterly accounting update webinars as needed.

  • Serves as the firms representative on the Center for Audit Qualitys SEC Regulations Committeeandpossibly otherrelatedtask forces(e.g.the AICPAs International Practices Task ForceSmaller Firm Task Force).

  • Serves as the firms primary relationship manager with the SECs Division of Corporate Finance Chief Accountant.

Client Service

  • Consultswith RSMI member firms in connection with questions related to exempt offerings including related comfort letter requests.

Risk Management

  • Providessupport to the ORMas it relates to theclientacceptancetools for SECreporting and compliancematters inclusive of exempt offerings for non-issuers.

  • Assistsengagement leaders withinvestigationsexaminationsinquiriesand comment letterswith respect to SECreporting and compliance mattersas requested by the SEC PPO Leader.

  • Works closely with ORM on internalPCAOB and other regulatory inspectionsincluding assisting with written responses as applicable on matters concerningSEC Reporting and compliance matters.

  • Serves as a resource to the Office of General Counsel and Audit Incident Response as a firm expert on matters concerning SEC reporting and compliance matters.

Requirements

  • Minimumbachelors degreein accounting

  • Minimum 15years experiencein a National CPA Firmor with the SEC

  • Certified Public Accountant(required)

  • Extensive knowledge ofSECRegulationsS-X and S-Kincludingsecurities registrations exempt offerings initial public offerings confidentialsubmissionscyber requirements and disclosures executive compensation disclosures and claw back requirements comfort letter matters Article 11 pro forma rulesandFinancial Reporting Manual updates

  • Broad working knowledge of U.S. GAAPandUS GAAS and PCAOBauditing standards

  • Experienced in developing and editing SECreporting andaccounting publications and educational training courses

  • Significantexperience intwo or more of the following areas of accounting: income taxes leases consolidation derivatives and hedging distinguishing liabilities from equity financial assets (including transfers and servicing) fair value measurementscryptocurrencies business combinations revenue recognition segment reporting earnings per share foreign currency matters and statement of cash flows

Preferred Requirements

  • Knowledgeable of IFRS (at a minimum the significant differences between IFRS and U.S. GAAPwithin the individuals areas of expertise)
