Job Description:
Neuberger Berman is a leading asset manager that is seeking a Private Funds/Investment Management Attorney to provide advice support and research on a broad variety of legal regulatory and general corporate matters for the fundraising efforts and ongoing operation of their Specialty Finance business which focuses on short-duration asset-based investments. The position will support a registered investment adviser focused on private fund fundraising and investing including for both closed-end funds and evergreen funds. The position will report to the General Counsel covering the business. Responsibilities:
Provide legal advice relating to fund and separate account formation and operation as well as investment advisory services to private funds and institutional separate account clients
Negotiating investment advisory agreements delegation agreements and side letters
Working with the Compliance department on policies and procedures including the implementation of the Firms compliance program
Working with the finance tax and operations teams on fund formation and ongoing fund operations
Assisting in the development of new investment vehicles and products
Advising and coordinating with internal and external counsel relating to mandates
Qualifications:
At least 6 years experience within large law firm
JD Required
Working knowledge of Investment Advisers Act of 1940 Investment Company Act of 1940 and the 1933 and 1934 Acts and ERISA rules
Working knowledge of various private fund structures including evergreen structures and tax driven structures like treaty structures and ICAVs
Efficient and resourceful able to work independently handling multiple and changing priorities and meet deadlines
Excellent organizational skills; detail oriented
Strong time-management skills; ability to prioritize multiple tasks efficiently
Ability to communicate effectively with senior management

Compensation Details
The salary range for this role in New York is $250000-$300000 and the salary range for the role in California is $250000-$300000. This is the lowest to highest salary we in good faith believe we would pay for this role at the time of this posting. We may ultimately pay more or less than the posted range and the range may be modified in the future. An employees pay position within the salary range will be based on several factors including but limited to relevant education qualifications certifications experience skills seniority geographic location business sector performance shift travel requirements sales or revenue-based metrics market benchmarking data any collective bargaining agreements and business or organizational needs. This job is also eligible for a discretionary bonus which along with base salary and retirement contributions is part of our total comprehensive package. We offer a comprehensive package of benefits including paid time off medical/dental/vision insurance retirement life insurance and other benefits to eligible employees.
Note: No amount of pay is considered to be wages or compensation until such amount is earned vested and determinable.
