Qualifications and Experience
- Fully qualified lawyer in Italy; UK qualification and/or LLM or equivalent would be an asset.
- At least 3 years of experience in the banking and finance department of a top-tier international law firm ideally advising on cross-border and multi-jurisdictional transactions;
- Experience and familiarity with English law governed documentation and deep knowledge of LMA (Loan Market Association) standard documentation;
- Prior experience in an investment bank helpful but not essential;
- Able to provide references upon request

BBVA is expanding its Corporate and Investment Banking (CIB) division in Milan and is looking for a motivated and talented lawyer to join its dynamic CIB Legal team reporting directly to the Head of Legal in Italy. This is a unique opportunity to work closely with both local and international business and legal teams across a wide range of practice areas and to grow professionally as a banking lawyer in a leading international bank.
Key Responsibilities
Providing general baking and finance Italian law advice to the Corporate and Investment Banking division of the Bank (locally and to our international branches);
Drafting reviewing and advising on:
lending and finance documentation including syndicated or bilateral loandocumentation (commitment letters term sheets facility agreements fee letters security documents)and ancillary documentation (amendment and waiver requests NDAs. release and reliance letters etc.) in the context of corporate lending project finance real estate finance export finance and leveraged finance transactions;
structured trade finance transactions (including wholesale and inventory finance factoring and other receivable assignment agreements) and other domestic and international trade finance transactions;
master agreements (e.g. ISDA GMSLA GMRA) and agreements relating to the distribution of financial instruments (including certificates).
Providing structuring advice (including any cross-border issues);
Coordinating execution and post-closing required activities as well as supervising external lawyers and liaising with colleaguesand lawyers in other jurisdictions in the context of cross-border and multi-jurisdictional transactions;
Providing initial advice and contractual interpretation for high value /complex / strategically important disputes;
Advising on powers and signing authorities and other day-to-day typical tasks;
Drafting of template documentation guidelines and checklists and management of internal libraries;
Writing and distributing know-how articles practice notes policies and guidelines and making presentations on new areas of law to the business teams and the Legal department.
