Our client is a reputable legal firm delivering outstanding legal services to a broad range of companies private clients and governments. They are currently looking to hire a Senior Associate (Finance and Projects Energy & Natural Resources).
Job Overview
The ideal candidate is a commercially minded finance and energy lawyer with core transactional experience advising financial institutions sponsors investors and corporates on complex financing capital markets and energy-related matters. The role requires hands-on involvement across structured finance debt financing project finance mergers and acquisitions and regulatory advisory work within the energy and natural resources sector.
The candidate must be capable of managing high-level transactions with limited supervision engaging confidently with senior clients and stakeholders supervising junior team members and contributing meaningfully to the teams commercial and strategic objectives.
Job Requirements
Minimum of 6 years post-call experience in the Energy and Natural Resources Oil & Gas sector with at least:
5 years in a law firm handling core transactional work within the sector.
1 year in a supervisory role overseeing subordinates independently and managing stakeholders effectively.
Bachelors degree in law. Preferred Qualification: Masters Degree in Law is an advantage
Mandatory experience in a commercial law firm.
Demonstrated ability to engage Partners external clients lenders investors and regulators.
Relevant Sector Exposure:
The candidate must have demonstrable transactional and advisory experience across finance capital markets and the energy and natural resources sector including:
- Asset-based lending and structured finance transactions
- Receivables financing supply chain finance and title or consignment finance
- Bilateral and syndicated debt financing
- Acquisition finance including public and private company acquisitions
- Project finance and non-recourse financing structures
- Capital markets transactions including equity debt and structured products
- Securitizations and asset-backed securities
- Oil and gas and broader energy sector advisory work including acquisitions and disposalsjoint ventures and joint operating agreements (JOAs)
- Energy-related financings
- Regulatory compliance and corporate governance related matters.
- Experience managing transaction workstreams independently with limited supervision including coordinating due diligence processes and preparing clear commercially focused issues memos and reports. Demonstrated ability to engage confidently with clients lenders investors regulators and counterparties and to contribute effectively to negotiations and stakeholder discussions. Experience supervising and mentoring junior team members is required.
Knowledge Requirements
The candidate must demonstrate hands-on expertise in the following areas:
- Structured Finance and Lending: Practical knowledge of asset-based lending receivables financing supply chain finance consignment and non-recourse financing structures including documentation security packages and risk allocation.
- Debt and Acquisition Finance: Strong understanding of bilateral and syndicated loan transactions acquisition finance structures refinancing arrangements and financing of public and private company acquisitions including MBOs and institutional buyouts.
- Capital Markets and Securitization: Sound knowledge of equity and debt capital markets transactions structured products asset-backed securities and securitization techniques including exposure to project finance securitizations.
- Energy and Natural Resources Transactions: In-depth understanding of oil and gas and broader energy sector transactions including joint ventures JOAs energy-related financings and commercial arrangements covering trading transportation storage LNG and supply.
- Regulatory and Compliance Advisory: Strong knowledge of financial services regulation licensing corporate governance and statutory compliance including advisory on AML requirements regulatory investigations and engagement with sector regulators.
- Due Diligence and Transaction Management: Expertise in managing legal due diligence processes navigating physical and electronic data rooms identifying transaction risks and preparing comprehensive due diligence reports.
