We are seeking a seasoned legal professional to join Vanguard as Assistant General Counsel reporting to the Head of the Office of the Corporate Secretary to serve as a subject matter expert to provide legal advice and representation related to the corporate governance activities of Vanguards investment products. The attorney will serve as a trusted advisor on governance and regulatory matters broadly ensuring compliance with applicable laws and supporting fiduciary oversight.
Key Responsibilities:
- Acts as a subject matter expert related to corporate governance matters and provides legal advice to business leaders to ensure their activities policies business practices and transactions comply with all relevant laws and regulations.
- Implements Office of the Corporate Secretary policies and procedures to ensure that corporate records notices and actions required by federal state and local jurisdictions and other regulatory authorities are prepared and maintained appropriately. Manages all shareholder communications and responds to inquiries from shareholders.
- Reviews and approves legal documents related to corporate governance matters. Provides final review and sign-off for Board meeting materials such as agendas and information packages compiled by the Office of the Corporate Secretary team. Ensures that the team upholds strict confidentiality and diplomacy throughout all interactions and operations.
- Monitors analyzes and responds to legislative and regulatory developments to ensure they are adequately addressed. Provides legal counsel and advice to internal business leaders in order to resolve and respond to complex operational and corporate governance issues.
- Direct and manage the work being performed by outside counsel.
- Maintains a high level of expertise in applicable areas of the law Vanguards business and the investment industry. Stays abreast of industry and regulatory developments affecting Vanguard. Maintains affiliations with relevant industry compliance and risk associations. Builds and maintains an external network and keeps up to date on trends and best practices in the industry.
- Participates in special projects and performs other duties as assigned.
Qualifications:
- Minimum ten years related legal work experience with deep knowledge of investment company governance corporate law and regulatory compliance.
- Investment Company Act of 1940 expertise required; alternative fund experience preferred.
- Skilled in managing complex board relationships and navigating fiduciary obligations.
- Strong communicator and strategic thinker with the ability to influence at senior levels.
