The role
We are a market leading global team advising a wide range of fund managers on the structuring and formation of all types of private capital funds: private equity real estate infrastructure debt/credit and emerging markets funds. A rapidly growing area of our practice involves advising on semi-liquid fund offerings that provide individual investors with access to the private markets usually via wealth management addition we advise on secondary transactions working closely with our transactional M&A teams. We also carry out ancillary advisory work for fund managers and advise some institutional investors on their participation in private funds.
Who you will work with
The group comprises eight partners three counsel thirty associates and eight addition PFG has a dedicated Knowledge Director a dedicated Business Development Manager and a Head of Strategy and Delivery to support the team.
The team is truly global in its approach and client base. We have private funds groups in New York Singapore Hong Kong Beijing Luxembourg Paris Munich Milan and Madrid and these teams work together seamlessly on a regular basis. Our London team works extremely closely with our Luxembourg practice. Clifford Chance has private funds tax and regulatory specialists in each of these jurisdictions who work on almost all our PFG mandates. Our global one-stop-shop approach is what sets the CC private funds practice apart from competitors.
What you will be responsible for
You will be working on the structuring launch and ongoing operations of open-ended products targeting private wealth investors particularly in the form of European Long-Term Investment Funds (ELTIFs) or Part II UCIs among other forms to provide individual investors with access to private markets. Your work will involve:
- Working closely with our network of specialists on devising suitable fund and asset holding structures for specific investment strategies.
- Drafting all fund documentation such as offering memoranda and subscription agreements.
- Working closely with our funds regulatory specialists to advise on the regulatory requirements for ELTIFs/semi-liquid fund arrangements including under AIFMD.
- Managing the process of registering these types of funds for marketing in various jurisdictions.
- Negotiating the documentation under which institutional seed investors agree to participate in these funds and distributors agree to distribute the funds.
- Providing ongoing legal advice on day-to-day operational corporate governance and regulatory matters related to the management and operation of these types of open-ended funds.
- Producing internal articles monitoring industry developments (legal and commercial) and contributing to our extensive know how collections and resources.
- Developing relationships with clients and actively engaging in business development and thought leadership initiatives and seeking out opportunities for new work.
- Project managing mandates and delegating appropriately. Supervising junior lawyers and trainees as part of a matter team and more generally as part of PFG.
Qualifications :
Your experience
You will have a background in open-ended investment fund and/or hedge fund formation including funds investing in liquid investments and/or illiquid investments. Specific experience of retail/UCITS or ELTIF fund establishment in particular would be beneficial (but is not essential). You will have solid technical skills in fund formation gained through working in a similar group at a City firm or at an overseas firm with a highly regarded profile in this area.
You will have an outstanding academic history and proven first-rate legal skills combined with a strong reputation amongst existing clients for providing commercial solutions excellent transactional and managements skills.
You will naturally be able to demonstrate excellent document drafting skills. You should demonstrate strong communication and analytical skills along with a high level of commercial awareness.
You will need to demonstrate that you can thrive in a team with high professional standards and a flexible client-friendly commercial approach. You will have had strong exposure to collaborating with multi-jurisdictional and multi-disciplinary teams.
It is crucial that you demonstrate an appetite for business development client relationship management and thought leadership.
