About the Role
This role provides hands-on exposure to group-wide corporate governance working closely with the Board and senior management to ensure strong compliance and governance practices across multiple jurisdictions. You will manage end-to-end corporate secretarial matters including board and shareholder meetings statutory filings annual reporting and coordination with regulators banks and external service providers making it an ideal opportunity for candidates seeking broad responsibility regional exposure and meaningful impact.
What You Will Do
- Support the Head of Department on corporate governance strategy policies and advisory to the Board and senior management on statutory and regulatory matters.
- Manage the full spectrum of corporate secretarial duties including incorporations statutory registers resolutions and oversight of external service providers for overseas entities.
- Organise and support Board Committee Management and Shareholder meetings including paper preparation and minute-taking.
- Ensure group-wide compliance with statutory regulatory constitutional and shareholder agreement requirements.
- Prepare and coordinate annual reporting and governance disclosures including Directors reports and shareholder communications.
- Handle statutory filings with ACRA and relevant overseas authorities including Corppass administration and corporate KYC for bank account openings.
- Liaise with regulators banks and third-party partners and support ad-hoc corporate matters as required.
What We Are Looking For
- Member of ICSA or the Chartered Secretaries Institute of Singapore (CSIS).
- At least 5 years of corporate secretarial experience in a firm or in-house role within a multinational or regional group; listed company exposure is an advantage.
- Strong technical knowledge of key regulatory frameworks including the Companies Act and Code of Corporate Governance; SFA knowledge is a plus.
- High attention to detail with the ability to deliver accurate timely work.
- Strong organisational and prioritisation skills to manage multiple competing deadlines.
- Experience in startups fintech or financial services environments is an added advantage.
