Job Summary

Role Purpose

Provide specialised legal advice in intellectual property commercial contracting and digital and technology projects to Sanoma Education offering practical support to business areas within an international matrix environment.
The role works in close coordination with the Head of Legal for Spain and Italy providing ongoing legal support across both jurisdictions and collaborating with other legal teams within the Sanoma Group as needed.

Key Responsibilities

1. Intellectual Property and Content

Provide legal advice on intellectual property rights related to editorial content including childrens and young adult literature as well as educational and digital materials.

Draft review and negotiate contracts for the acquisition assignment and licensing of rights.

Support the protection of intellectual property assets and manage disputes or incidents coordinating with the Head of Legal and external counsel.

Maintain and update contractual templates standard clauses and internal materials related to intellectual property.

2. Commercial Contracting and Business Support

Provide contractual advice to various business areas (Editorial Digital Products Sales Marketing Customer Service Procurement Technology and Operations).

Draft review and negotiate commercial service and technology agreements.

Review and negotiate technology contracts (including SaaS solutions development maintenance and platforms) and support Procurement in contracting suppliers especially technology and service providers.

Prepare legal bases for sweepstakes and contests mainly for the Marketing department as well as other promotional activities.

Identify legal risks and propose solutions aligned with business objectives in Spain and Italy.

3. Distribution and Channel

Review and update distribution contracts and agreements with the educational channel.

Collaborate on the legal analysis of commercial models and the distribution ecosystem.

Develop and maintain tools guides and criteria that facilitate more efficient contract management by business units.

4. Digital Projects and Technological Innovation

Advise on initiatives related to digital products educational platforms and technological developments.

Support projects involving artificial intelligence or other emerging technologies by analysing legal risks and providing practical recommendations.

Assess legal implications regarding intellectual property and contracting in innovation projects.

5. Cross-Functional Work and Matrix Environment

Act as the regular legal contact for various business areas.

Collaborate closely with the Head of Legal and the Groups international legal team aligning criteria and processes for Spain and Italy.

Participate in internal training initiatives and legal knowledge management.

Monitor relevant regulatory developments affecting the business (intellectual property digital emerging technologies) anticipating practical impacts in both jurisdictions.

6. Industrial Property

Manage the Groups trademark portfolio in the region coordinating with the Groups legal team.

7. Corporate

Provide ad hoc support on corporate matters for the Groups companies in Spain and Italy in coordination with the Head of Legal.

Requirements

Education and Languages

Bachelors degree or equivalent in Law.

Essential training in Intellectual and Industrial Property.

Training in Digital Law or Technology is desirable.

Fluency in Spanish and English (spoken and written).

Experience

47 years of experience providing legal advice in intellectual property contracting and digital/technology projects.

Proven experience drafting and negotiating contracts.

Experience in the publishing education digital sectors or multinational environments is desirable.
