The successful service provider will deliver comprehensive corporate governance and council secretariat services providing strategic guidance to Council members and senior management while ensuring compliance with applicable legislation governance frameworks and best practices.
KEY RESPONSIBILITIES
Corporate Governance & Advisory
Provide governance guidance to Council members regarding their duties responsibilities and powers
Advise Council and Management on applicable laws regulations business ethics and good governance principles
Review and update Council and Committee Charters and Terms of Reference
Review Council and Committee structures to ensure effectiveness and compliance
Provide governance compliance support and advisory services
Ensure Council policies and decisions are communicated to relevant stakeholders and that key management issues are escalated to Council where appropriate
Governance risk management and advisory
Council & Committee Secretariat Support
Attend Council and Committee meetings and provide full secretariat support
Draft review and finalise agendas in liaison with Chairpersons and the Registrar
Compile circulate and manage electronic meeting packs
Draft accurate and comprehensive minutes resolutions and matters arising
Monitor action items and ensure carry-forward items are included in subsequent agendas
Ensure minutes are approved signed by the Chairperson and properly recorded
Manage Round Robin resolutions
Governance Reporting & Effectiveness
Assist with drafting the annual governance year planner to ensure alignment between Council Committees and Executive Management
Maintain Council members Declarations of Interest personal details and contact information
Prepare governance write-ups and contribute to the governance section of the Annual Report
Participate in proofreading of Annual Reports
Facilitate Council and Committee evaluations
Coordinate Councillors induction and ongoing governance training
Conduct Board Effectiveness Reviews
Requirements
MINIMUM REQUIREMENTS
Professional qualification from the Institute of Chartered Secretaries and Administrators South Africa (ICSA / CGISA) (advantageous)
Minimum 5 years proven track record as a firm providing Secretariat and Governance Consulting services
No conflicts of interest relating to the provision of the required services
Required Skills:
