Senior Corporate Paralegal
Location: Downtown Vancouver BC (In-Office)
Salary: $85000 $120000 annually (commensurate with experience)
Our client a well-established and growing law firm is seeking a Senior Corporate Paralegal to join their Corporate Services team in downtown Vancouver. This role is ideal for an experienced corporate paralegal who enjoys leading complex transactions mentoring junior team members and contributing to process improvement within a high-performing corporate group.
Key Responsibilities
- Assist lawyers with complex tax-driven corporate transactions including preparation of documentation for Section 85 rollovers and Section 86/51 exchanges
- Prepare and manage closing agendas document lists reporting letters and closing books
- Draft and oversee corporate documentation for transactions including:
- Incorporations and organizations (BC Federal and Societies)
- Amalgamations alterations and name changes
- Share allotments transfers redemptions and dividends
- Director and officer changes
- Registered and records office changes
- Prepare and organize filings for limited partnerships
- Conduct name reservations through BC Registry and NUANS
- Maintain and oversee corporate records minute books and virtual record systems
- Review corporate records and draft deficiency memoranda
- Conduct searches via BC Online Corporations Canada and Land Title Office
- Perform conflict searches and draft routine correspondence
- Assist with audit inquiry responses
- Maintain annual filings for BC Federal and Societies entities
- Liaise with affiliated law firms and external stakeholders as required
Leadership & Advanced Responsibilities
- Mentor and support junior paralegals providing guidance on best practices and file management
- Provide quality control over corporate records statutory filings and annual maintenance
- Monitor and interpret corporate legislative and regulatory changes
- Assist with the development and refinement of precedents and internal procedures
- Research and complete corporate filings in other Canadian jurisdictions as needed
- Manage and maintain internal project-tracking databases
Qualifications
- Minimum 5 years of experience as a Corporate Paralegal including leading transactions
- Strong working knowledge of BC and Federal corporate statutes registries and filing systems
- Demonstrated ability to work autonomously and manage competing deadlines
- Experience mentoring or supervising junior staff is considered an asset
- Experience with corporate filings in Alberta and/or Ontario is an asset
- Strong communication skills and a collaborative solution-oriented approach
