The role
We are seeking a highly motivated and skilled Capital Markets Associate to join our dynamic team in Beijing. The successful candidate will be involved in a wide range of Greater China IPO transactions including but not limited to ECM transactions and some DCM transactions. This role requires a deep understanding of financial markets as well as the ability to navigate complex legal and regulatory frameworks across multiple jurisdictions.
Key Responsibilities:
- Draft review and negotiate legal documentation related to Greater China equity capital markets transactions and debt capital markets transactions.
- Advise clients on transactions including IPOs follow-on offerings and debt issuances.
- Draft and negotiate transaction documents including prospectuses underwriting agreements and disclosure materials.
- Liaise with regulatory bodies and stock exchanges in Mainland China and Hong Kong.
- Support client meetings due diligence sessions and deal execution across Greater China.
- Collaborate with colleagues across practices and jurisdictions to deliver seamless client service.
- Participate in client meetings and conference calls to discuss transactional structures and legal issues.
Qualifications :
Your experience
- Qualified lawyer with a minimum of 1 years PQE in capital markets within a reputable law firm or financial institution.
- Strong academic credentials in law.
- Proficiency in English and Mandarin is mandatory.
- Proven track record in managing capital markets transactions
- Excellent legal drafting and negotiation skills.
- Ability to work under pressure and manage multiple deadlines in a fast-paced environment.
- Strong analytical communication and interpersonal skills.
- A team player with a commitment to delivering high-quality work.
