Capital Markets Associate Attorney Multiple Locations (Hybrid) $185000$290000

A leading AmLaw 50 firm is seeking a talented Capital Markets Associate to join its Corporate Practice Group in Minneapolis. The firms Capital Markets team represents issuers investment banks investors and other market participants in debt equity and structured transactions as well as advising investment banks on regulatory compliance and related matters.

Key Responsibilities:

Advise clients on all aspects of capital markets transactions including public offerings and private placements (PIPEs).
Draft and review registration statements offering documents and disclosure materials.
Provide guidance on securities law compliance public company reporting and corporate governance requirements.
Manage due diligence teams coordinate with specialists and oversee transaction timelines.
Support issuers and underwriters through every phase of complex securities offerings

Qualifications:

25 years of capital markets or securities law experience in a law firm setting.
Strong familiarity with public securities offerings and private placements/PIPEs.
Experience advising on registration and reporting obligations under the Securities Act and Exchange Act.
Excellent drafting analytical and organizational skills.
Superior academic credentials and attention to detail.
Ability to handle multiple assignments with minimal supervision.
Must hold (or be eligible to obtain) bar admission in the jurisdiction of your preferred office.
