An AmLaw 50 firm is seeking a Corporate Associate with deep public company and capital markets experience to join ourAustin Palo Alto or San Francisco office. Youll advise some of the worlds most innovative technology and life sciences clients on complex securities matters governance and capital markets transactions.
Key Responsibilities:
Advise public companies on SEC reporting compliance disclosure obligations and corporate governance.
Handle day-to-day matters involving Nasdaq and NYSE compliance.
Represent issuers and investment banks in a variety of capital markets transactions including IPOs equity and debt offerings PIPEs and at-the-market offerings.
Collaborate with interdisciplinary teams to guide clients through complex regulatory and transactional challenges.
Provide strategic counsel on issues impacting emerging and established public companies.
Qualifications:
5 years of experience in public company reporting securities compliance or capital markets.
Significant experience representing issuers or investment banks in IPOs and securities offerings.
Familiarity with technology and/or life sciences clients preferred.
Strong academic credentials and exceptional communication skills.
Active membership in the California or Texas State Bar (or eligibility to waive in).
