Job Description:
A US client is preparing to go public through a de-SPAC transaction and is seeking experienced SEC Reporting Consultants to support the preparation and filing of Form S-4. This engagement requires professionals with deep knowledge of SEC disclosure requirements and hands-on experience preparing registration statements for business combinations involving SPACs.
The ideal candidate will work closely with the COO internal finance team and external advisors to ensure timely submission of the S-4 before the targeted filing date for SEC review.
Key Responsibilities

Lead and support the drafting review and assembly of Form S-4 filing and related SEC documentation

Collaborate with cross-functional teams (Legal Finance External Auditors Advisors) to collect necessary financial and operational inputs

Ensure full compliance with SEC regulations disclosure standards and de-SPAC reporting requirements

Assist in responding to SEC comment letters and making revisions to filings
-
Provide technical accounting and regulatory guidance as needed

Manage timeline and deliverables to meet the target pre-Christmas filing deadline
Qualifications

Minimum 3-5 years of relevant SEC reporting and public company experience
-
Strong background in S-4 filings de-SPAC transactions or business combinations
-
CPA preferred; Big Four or top-tier advisory experience a plus
-
Excellent technical accounting financial reporting and project management skills
-
Ability to work under tight deadlines in a fast-paced transaction environment
