Your key responsibilities

There are plenty of complex challenges when preparing and executing divestitures and our clients turn to us to handle them. As a Director for our Transaction Diligence Sell Side team youll be right at the heart of that goal. Youll work with some of the most recognized leaders in the field of corporate transactions assisting our clients on sell side transactions and helping to provide tailored guidance to maximize value.

Well look to you to support large high-profile projects focusing on divestitures across a broad range of industry Transaction Diligence Sell Side our team advises clients in the preparation of carve-out financial statements to be audited and related SEC filings. Working on large transformational projects youll be working with and supporting the various team members across our EY Parthenon service lines including International Tax and Transaction Services and Valuation Modeling and Economics. That makes this the perfect place to develop a deep understanding of corporate transactions while working in one of the most exciting and rapidly evolving professional services practices.

As a Director for the Sell and Separate team youll support the execution of transformational deals working as a team to solve complex challenges. That means youll need a natural authority and confidence in your professionalism. Its a political role at times as youll be integrating into complex client teams so your ability to develop and cultivate relationships will be extremely helpful here. You will also be helping develop staff and seniors ensuring their career development.

Skills and attributes for success

  • Handling divestitures including carve-outs spins and full-enterprise sales for private investor groups and corporate buyers.
  • Analyze financial and operational results of businesses to be sold through reviewing accounting records and conducting interviews with management.
  • Assist clients in the preparation of SEC filings including carve-out audited financial statements.
  • Constantly researching industry trends and technologies as well as seasonality and cyclicality on cash flow requirements to provide authoritative knowledge and insight to clients.

To qualify for the role you must have

  • A bachelors degree in Accounting or Finance and 5 years of related work experience; or a graduate degree and approximately 4 years of related work experience.
  • Significant public accounting experience.
  • Excellent analytical skills and the confidence to translate complex data into meaningful insights.
  • The ability to prioritize effectively on projects and the skills to adapt quickly to new challenges and concepts.
  • Solid negotiation and influencing skills and the ability to develop long-lasting relationships both internally and externally.
  • You must either reside in or be in a commutable distance to your office location for this position.
  • The ability and willingness to travel and work in excess of standard hours when certain circumstances travel may be required beyond your work location based on client and project needs.

Ideally you will have

  • A proven record of excellence in audit and/or mergers or acquisitions transactions role.
  • An active CPA certification.
  • Experience gained within another large professional services organization.
  • Established networking skills in a relevant industry.
  • Knowledge of how to leverage firm-approved AI tools in a business setting including Microsoft Copilot.

  • We offer a comprehensive compensation and benefits package where youll be rewarded based on your performance and recognized for the value you bring to the business. The base salary range for this job in all geographic locations in the US is $120400 to $220700. The base salary range for New York City Metro Area Washington State and California (excluding Sacramento) is $144500 to $250900. Individual salaries within those ranges are determined through a wide variety of factors including but not limited to education experience knowledge skills and addition our Total Rewards package includes medical and dental coverage pension and 401(k) plans and a wide range of paid time off options.
  • Join us in our team-led and leader-enabled hybrid model. Our expectation is for most people in external client serving roles to work together in person 40-60% of the time over the course of an engagement project or year.
