We are supporting a leading international organization in their search for an Assistant Company Secretary to join their dynamic team in Warsaw. Their Warsaw office plays a strategic role in supporting both regional and global functions fostering a culture of excellence and continuous improvement.
As an Assistant Company Secretary you will play a pivotal role in supporting the governance framework and ensuring the smooth operation of board and committee processes.
Key responsibilities include:
- Preparing agendas and meeting packs attending and minuting committee meetings as required and managing Board and committee diaries.
- Filing and maintaining company records and documents on internal systems ensuring records are reviewed and complete.
- Drafting board minutes resolutions and handling company secretarial duties related to capital alterations ownership changes and dividend distributions.
- Liaising with notaries external auditors foreign registrars and company secretarial agencies.
- Managing filings at Companies House and equivalent bodies in foreign jurisdictions.
- Preparing responses and documentation (including group structure charts) for KYC requests from clients.
- Deputising for and providing assistance to the Deputy Company Secretary.
- Supporting project work and being alert to conduct risk issues ensuring the highest standards of compliance and integrity.
The ideal candidate will bring:
- Proven knowledge understanding and experience of company secretarial work.
- Experience minuting committee meetings and drafting resolutions.
- Proficiency in Microsoft Office (including Excel); experience with Blueprint or similar company secretarial record systems is preferred.
- ICSA qualification or working towards ICSA qualification is an advantage.
- Excellent interpersonal communication skills strong organizational abilities and a proactive team-oriented approach.
