Could you be the full-time onsite Junior Legal Counsel in Ridderkerk NL were looking for

Your future role

Take on a new challenge and apply your legal and corporate governance expertise in a new cutting-edge field. Youll work alongside collaborative and dynamic teammates.

This role offers the opportunity to be involved in a wide range of general corporate and commercial legal matters You will work closely with lawyers and business teams across multiple jurisdictions providing legal support for day-to-day corporate matters and also support the local legal team for a variety of commercial matters.

Moreover you will be in direct contact with the VP Legal & Compliance Europe Region in order to help him in managing the Region.

Well look to you for:

  • Drafting of corporate documents such as minutes resolutions proxies and maintaining Shareholders Registers.
  • Management and updating of the Articles of Association and other documents relating to the corporate governance of the Company.
  • Calendaring meetings deadlines preparing agendas for board meetings and many other matters for the Management Board and Supervisory Board
  • Reviewing preparing and distributing board materials including draft resolutions and containing substantial background information to assist with board meeting preparation
  • Joining meetings with foreign affiliates to get informed about transactions and requests
  • Maintaining records of the materials provided to the board and its committees to substantiate that directors are given appropriate information on which to base decisions
  • Monitoring corporate governance and other developments that the board and/or its committees need to know and taking the steps necessary to comply with changing regulatory and other requirements
  • Preparation and assistance of the transfer of shares and/or issuance of shares.
  • Implementing and coordinating restructures of the Company and/or its holdings.
  • Coordination of documents relating to mergers takeovers or divestments.
  • Prepare review and negotiate contracts or other legal documents with an acceptable level of risks
  • Support the business in all legal and contractual matters including claim management dispute settlement
  • Contractual and legal evaluation of tender documents
  • Support the business on litigation arbitration or other dispute matters
  • Assisting the legal department and contract management to restructure and organise proper archiving
  • Assisting the Europe General Counsel with his organisation and management of the Europe Region
  • Promoting the Alstom Code of Ethics and adhering to the highest standards of ethical conduct

Support to the VP Legal & Compliance Region Europe

  • Organise and manage the schedule
  • Organise regular calls
  • Arrange team meetings with Direct Reports
  • Collect input for meetings and consolidate
  • Support with presentations
  • Regular update of lists and SharePoint

  • Ideally already some relevant experience in an international business environment or law firm a degree in business law is highly desired
  • Focus on corporate matters is a clear plus
  • Familiarity with international contracts and project tenders
  • Previous exposure to international practice through studies or work experience
  • Have a hands-on approach in all aspects of role
  • Gets things done and solved quickly and accurately
  • Ability to work autonomously employ pro-active initiative to find solutions
  • Excellent pro-active organisation skills
  • Highly structured working style including the ability to prioritise.
  • Ability to work under pressure with conflicting priorities meet strict deadlines and pay attention to detail.
  • Highest integrity having the ability to maintain confidentiality and handle sensitive matters diplomatically and discreetly
  • Ability to liaise at an executive level
  • Fluent Languages: Dutch and English knowledge of French and/or German is a plus
  • Ability to work in an international team with different cultures
  • Knowledge of effective organisation of teams & offices
  • Knowledge in handling office equipment and strong skills in IS tools particularly MS Office Outlook and MS Teams
