Description This role is ideal for a corporate paralegal or legal operations specialist who thrives in a fast-paced startup environment. Reporting to the CFO and partnering closely with the legal and business teams you will manage corporate governance compliance and investor-related activities including maintaining corporate records administering data rooms supporting financings and coordinating with investors and counsel. The position requires a strong attention to detail proficiency in equity management platforms like Carta and the ability to navigate complex corporate transactions from initial investor communications through closing and post-closing activities. - Listing of Directors Officers Counsel
- Foreign entity administration
- Equity and debt record keeping
- Delaware and California corporate compliance
- Support corporate transactions
- Data room administration:
- Account management
- Permissions
- Content
- Closure
- Tracking of investor interest and follow up.
- Support CFO/CEOs with investor communications about financing logistics.
- Support CFO/CEOs by facilitating document review and iterations with investors and counsel.
- Support counsel with disclosure materials and equity metrics required in the financing documents.
- Support closing: document execution funding confirmations investor questions.
- Support post-closing activities: government filings executed document distribution.
Education & Work Experience - Bachelors degree or paralegal certificate preferred.
- 4 years of experience as a corporate paralegal or legal specialist ideally in a startup venture capital or law firm serving startups that require equity funding.
- Familiarity with corporate governance contracts and basic private company securities compliance.
- Carta (or other cap table management software) experience required.
- Conga (or other contract management software) experience is a plus.
- Exceptional attention to detail and organizational skills.
- Strong written and verbal communication skills.
- Ability to manage multiple projects and deadlines.
- Proficiency in Microsoft Office.
- Self-starter with a problem-solving mindset.
Our salary ranges are calculated by role level and location. Please note that your position within that range will be determined by your job-related knowledge location skills experience relevant education and training/certifications. The base salary range for this full-time position is between $90000 - $110000 equity benefits.
