Job Description

Our client a rapidly growing well-funded startup in stealth mode is looking to add a Contracts Manager to its team. Our client believes that highly intelligent software & hardware can help to preserve and protect the safety and freedom of people around the world. The Contracts Manager will be a key member of the Contract team and will focus on the drafting negotiation and execution of operational contracts and identifying and implementing improvements to the contracting process. The Contract Manager is expected to collaborate with a diverse group of professionals including stakeholders and other teams to ensure strong communication across functions and business teams. The Contract Manager will work alongside specialized legal teams within the company and its related entities. This role can operate out of any of our clients Washington DC SF Bay Area Los Angeles New York City or Boston offices (hybrid in-office requirement).

Responsibilities:

    • Review prepare negotiate and coordinate the execution of operational contracts from beginning to end including drafting redlining negotiating terms and conditions collaborating with various teams and obtaining internal approvals tracking and reporting and electronic document storage
    • Manage various contract types such as government contracts services agreements purchase agreements manufacturing contracts supplier and vendor procurement agreements confidentiality agreements consultant agreements engagement letters statements of work amendments and order forms
    • Collaborate with various stakeholders to incorporate and negotiate terms as appropriate in consultation with the legal team
    • Consolidate counterparty comments to Company contract templates and/or compare legal terms in counterpartys proposals with those in Company contract templates
    • Determine whether contract terms are acceptable or if provisions need to be added in consultation with the legal team
    • Identify contractual terms that pose a risk to the Company and resolve or implement risk mitigation strategies
    • Work collaboratively with the legal team and business stakeholders to identify gaps between proposed contract terms and identified business requirements and to balance and monitor counterparty risk
    • Respond to inquiries regarding terms in existing contracts and assist stakeholders in understanding contract provisions
    • Evaluate and/or monitor contract performance to determine the necessity for amendments or extensions of contracts and compliance with contractual obligations
    • Assist in maintaining the Companys contract templates
    • Partner and collaborate with internal stakeholders throughout the organization regarding contractual matters ensuring compliance by such stakeholders with the contract process
    • Analyze price proposals financial reports and other data in proposals
    • Work collaboratively with the Legal and IT teams on updates to and maintenance of contract templates knowledge database and clause library and file management best practices
    • Coordinate signatures of appropriate signing authorities ensuring contracts are fully executed by all parties
    • Perform special projects and respond to ad-hoc requests as needed from time to time including contracts-reporting projects

Requirements:

    • Undergraduate college degree from an accredited university
    • Minimum 5 years experience as a contract manager
    • An active national security clearance is preferred.
    • Experience working on complex cross-border transactions government contracts U.S. and international distributor and reseller agreements is a plus.
    • Comfort with ambiguity and change management and adaptable to new systems and technology especially those that assist with end-to-end contract lifecycle management
    • Confidence working in GSuite DocuSign and Zoom

The current targeted base salary for this position ranges from $165K 200K plus equity and a potential bonus. Actual compensation is determined based on a number of factors including a candidates qualifications years of directly relevant experience and geographic location.
