Associate General Counsel

Position Summary
Responsible for providing legal services and advice to the senior leadership team and various business units. The Associate General Counsels primary responsibility within the organization will be advising on all applicable state and federal legal and regulatory issues to support the business operations. Serves in a generalist capacity to provide support in the functional areas of Legal and Risk Management that may include but not limited to: risk management employee relations insurance compliance policy management privacy and conflict of interest.

Essential Duties

1. Manages all aspects of the legal and regulatory negotiation of agreements.
2. Regularly negotiate draft review and revise a wide variety of agreements including but not limited to service agreements with outside vendors and independent contractors business associate agreements data use agreements
3. Serves as primary backup for review of affilation agreements clinical trial agreements and research partnership agreements.
4. Ensures agreements are in compliance with institutional policy applicable laws and regulations and the inclusion of relevant clauses and exceptions as applicable.
5. Acts as primary point of contact between NJH businesss units and the Legal and Risk Management Department with regard to agreements that require review. May have direct contact with organizations with which NJH is contracting with should legal and regulatory terms need to be negotiated.
6. Advises managers and supervisors on agreement review and preferred clauses for legal and regulatory aspects of agreements.
7. Drafts and reviews institutional policies and guidelines necessary for the institution to achieve compliance with state and federal law as well as support operations.
8. Provide general regulatory advice and drafting as needed with respect to regulatory and compliance issues arising within the day to day operations of the institution.
9. Review and provide advice and drafting as needed with respect to legal and risk management issues arising within the day to day operations of the institution. Provide risk assessments and risk mitigation recommendations when appropriate.
10. Regularly advise departments on matters related to domestic and international privacy regulations including but not limited to the Health Insurance Portability and Accountability Act (HIPAA) and General Data Protection Regulation (GDPR). Assist with data breach assessment and response as needed.
11. Maintains expertise and stays current on relevant laws and regulations through self-directed professional reading developing professional contacts with colleagues attending professional development courses and attending training and/or courses.
12. Key contributor to the achievement of the Legal and Risk Management Department goals and objectives ensuring the effective day-to-day operations.
13. Coordinates with and directs external counsel on an as-needed basis.

Minimum Qualifications

1. Education: Juris Doctorate (J.D.) from an accredited ABA law school.
2. Work Experience: 5 years of experience as a practicing attorney advising clients on agreements and transactions preferably in a healthcare setting or academic medical center. Experience troubleshooting and managing risk and legal issues. Experience reviewing and negotiating various agreements preferred experience with sponsored research agreements and/or clinical trial agreements.
3. Special Training Certification or Licensure: Good standing membership in or eligibility for admission to the Colorado State Bar. Proficient in Microsoft Office (particularly Outlook and Word) and Adobe DC. Ability to utilize Westlaw Bloomberg Lexis Nexis or other comparable legal research platform.

Salary Range: $156026.13 - $206344.55
