Job Description

Senior Associate or Partner Level!

A NYS law firm is looking to add a Corporate Attorney to their growing Syracuse office. The Attorney will work on an array of corporate and transactional matters advising clients on corporate structuring transactions and regulatory compliance. The Corporate Attorney also contributes to the firms strategic growth initiatives in the region.

Duties & Responsibilities:
  • Counsel clients on business entity formation structuring and governance
  • Advise clients on corporate compliance and risk management strategies
  • Draft review and negotiate complex agreements including shareholder agreements operating agreements partnership agreements service contracts SaaS agreements and buy-sell agreements
  • Oversee mergers and acquisitions including due diligence and closing procedures
  • Maintain knowledge of applicable business laws especially those affecting New York State-based clients
  • Develop and maintain strong client relationships with a focus on business development in Central New York
  • Collaborate with other attorneys and departments on multidisciplinary legal matters
  • Work closely with the senior leadership to shape the firms strategic vision for the Syracuse office
