Overview:

The Corporate Counsel Commercial role will be a part of Mitels global Legal Team and act as a business partner to international stakeholders. With a primary focus in the DACH region the Corporate Counsel Commercial role will support the DACH sales team on all aspects of the sales process including responding to public and private sector RFPs and direct sales deals. In addition Mitel may require legal support across a number of other functions including HR facilities trade compliance litigation procurement corporate law /M&A etc.

Responsibilities:

• Guide and support the bid team in review response and negotiation of public and private sector RFPs and direct sales deals including deals for regulated customers (banks insurance etc).

• Reviewing terms and comments drafting negotiations of hardware and software cloud managed services maintenance and data processing agreements

• Drafting and improving templates

• Meeting business objectives by working closely with various teams within Mitel (finance data protection regulatory export control security information product management) while ensuring risks are mitigated and managed

• Oversee all aspects of managing and administering contracts.

• Ensuring compliance with legal requirements and corporate policy

• Developing Mitels policies to align with regulatory requirements and internal strategic direction

Requirements:

• 3-5 years industry experience supporting legal negotiations for the sale and/or procurement of hardware and software cloud managed services maintenance and data processing agreements

• Proven knowledge of and experience in German public procurement law

• Fluent in English and German

• Must be German Qualified Lawyer

• Must be willing to undertake governmental security screening to enable the candidate to assist with RFP responses for German secure customers

• Self-directed and motivated with a strong ability to multitask and work under pressure

• Practical and solutions oriented

Der Unternehmensjurist Commercial - ist Teil des globalen Rechtsteams von Mitel und fungiert als Geschftspartner fr internationale Stakeholder. Mit Schwerpunkt in der DACH-Region untersttzt der Unternehmensjurist Commercial - das DACH-Vertriebsteam in allen Aspekten des Vertriebsprozesses einschlielich der RFP-Beantwortung von Angebotsanfragen des ffentlichen und privaten Sektors und Direktvertriebsgeschften. Darber hinaus kann Mitel rechtliche Untersttzung in einer Reihe weiterer Funktionen bentigen darunter Personalwesen Facility Management Trade Compliance Rechtsstreitigkeiten Beschaffung Gesellschaftsrecht/M&A usw.

Aufgaben:

• Anleitung und Untersttzung des Angebotsteams bei der Prfung Beantwortung und Verhandlung von RFP-Angebotsanfragen des ffentlichen und privaten Sektors sowie von Direktvertriebsgeschften einschlielich Geschften fr regulierte Kunden (Banken Versicherungen usw.)

• Prfung von Bedingungen und Kommentaren Entwurf und Verhandlung von Vertrgen fr
  Hardware und Software Cloud Managed Services Wartung und Datenverarbeitung.

• Entwurf und Verbesserung von Vorlagen.

• Erreichen der Geschftsziele durch enge Zusammenarbeit mit verschiedenen Teams bei Mitel (Finanzen Datenschutz Regulierung Exportkontrolle Sicherheitsinformationen Produktmanagement) mit gleichzeitiger Risikominderung und -management.

• berwachung aller Aspekte der Vertragsverwaltung und -abwicklung.

• Sicherstellung der Einhaltung gesetzlicher Vorschriften und Unternehmensrichtlinien.

• Entwicklung von Mitel-Richtlinien zur Anpassung an regulatorische Anforderungen und interne strategische Leitlinien.

Anforderungen:

• 3-5 Jahre Branchenerfahrung in der Untersttzung von Rechtsverhandlungen fr den Verkauf und/oder die Beschaffung von Hardware und Software Cloud Managed Services Wartungs- und Datenverarbeitungsvertrgen.

• Nachgewiesene Kenntnisse und Erfahrungen im deutschen Beschaffungsrecht.

• Flieende Englisch- und Deutschkenntnisse.

• Muss ein in Deutschland zugelassener Rechtsanwalt sein.

• Bereitschaft zur Teilnahme an einer Sicherheitsberprfung durch die Behrden damit der Kandidat bei der Beantwortung von RFP-Angebotsanfragen fr deutsche Kunden mit Sicherheitsanforderungen mitwirken kann.

• Selbststndiges und motiviertes Arbeiten mit ausgeprgter Fhigkeit zum Multitasking und Arbeit unter Druck.

• Praxisorientiert und lsungsorientiert.

• Ausgeprgte Kooperationsfhigkeit und die Fhigkeit in einem diversen und sich verndernden Arbeitsumfeld harmonisch zu arbeiten.
