Commercial MortgageBacked Securities (CMBS) Associate Attorney

Are you an accomplished attorney looking to advance your legal career with a premier global law firm Our client a prestigious AmLaw 50 firm ranked by Chambers & Partners and The Legal 500 US is seeking a Commercial MortgageBacked Securities (CMBS) Associate Attorney to join their highly ranked Global Finance practice.

This team represents issuers underwriters servicers and investors across a significant share of CMBS transactions including CRE CLOs advising on complex marketdefining deals.


About the Role

As a CMBS Associate Attorney you will:

  • Advise clients on a wide range of CMBS and CRE CLO transactions

  • Draft review and negotiate securitization documents including pooling and servicing agreements mortgage loan purchase agreements bid letters investor certifications and confidentiality agreements

  • Manage transactions from due diligence through closing ensuring regulatory compliance and seamless execution

  • Collaborate with colleagues across the Global Finance group

  • Support deal structuring disclosure oversight and postclosing legal work



Requirements

Candidate Qualifications

We are seeking a highly qualified associate with:

  • JD from a toptier law school with a strong academic record

  • Active Bar Admission in New York Pennsylvania Massachusetts or North Carolina (or ability to waive in)

  • 3 6 years of experience in securitization and structured finance particularly in CMBS transactions

  • Demonstrated experience drafting and negotiating key securitization documents such as PSAs MLPAs and bid letters

  • Large law firm experience required

  • Familiarity with repurchase facilities and warehouse lending

  • Experience with permanent capital vehicles M&A BDCs or life sciences is a plus
