The Legal Department of Alantra is looking for a young professional to joint its team to support and develop its Spanish and international entities in all related corporate and asset management legal matters which may comprise matter such as:
M&A
- Advise internal stakeholders on all aspects of M&A transactions. Draft review and negotiate key transaction documents such as: share and asset purchases shareholders agreements joint ventures restructurings and corporate reorganisations.
- Conduct and coordinate legal due diligence identify risks and propose practical mitigation strategies.
- Provide strategic input on deal structuring regulatory implications and legal risk management.
- Collaborate with tax finance employment regulatory and other external legal specialists to ensure comprehensive transaction support.
- Manage timelines and coordinate with external counsel advisors and counterparty legal teams.
- Support postclosing matters including integration claim management and corporate housekeeping.
Investment Banking Corporate Advisory
- Drafting reviewing and negotiating a broad range of agreements including: engagement letters services agreements senior advisory fee sharing and collaboration agreements.
- Support the origination and teams on deal structuring legal risk assessment client negotiation and regulatory considerations.
- Coordinate with external counsel across jurisdictions and ensure highquality costeffective advice.
- Monitor and interpret legal and regulatory developments relevant to the groups investment banking activity across Europe US UK and other relevant markets.
Asset Management
- Provide legal support on the structuring launch and maintenance of investment funds.
- Drafting reviewing and negotiating a broad range of agreements regarding our asset management business: including fund documentation investment management and advisory agreements distribution arrangements and service provider contracts.
- Collaborate with compliance risk operations and investment teams to address legal issues across product development distribution and portfolio management activities.
- Liaise with external counsel and regulators in various jurisdictions as needed.
- Preparation of regulatory filings regarding the securities market and asset management with national and international supervisory authorities including for instance the incorporation of investment vehicles or asset managers.
- Monitor legal and regulatory developments affecting asset management and advise on potential business impact and implementation strategies.
Corporate Governance
- Provide ongoing support for corporate governance matters shareholder communications and board governance practices in line with relevant corporate governance codes and listing rules.
- Advise the Board of Directors of entities of the Group on legal and governance matters ensuring compliance with disclosure obligations related party transactions and corporate policies.
- Assist with the preparation of general shareholders meetings shareholder resolutions and other corporate filings ensuring that all corporate governance matters are handled efficiently and in compliance with applicable laws.
- Assist with grouplevel initiatives including corporate governance crossborder projects and policy development.
Other
- Support the development of templates for legal documents and other materials to enable the legal team to operate as effectively and efficiently as possible.
- Participate in digitalization and innovation projects of the Legal Department.
Requirements:
- Spanish qualified lawyer with 34 years of experience ideally gained at a toptier law firm in corporate / M&A practice.
- Knowledge of financial regulation and equity capital markets will be highly valued.
- Excellent written and verbal presentation skills in Spanish and English. Other languages will be highly valued.
- Excellent interpersonal communication skills.
- Ability to manage multiple priorities and provide pragmatic businessoriented legal advice under tight deadlines.
- Demonstrated ability partnering with international colleagues in different jurisdictions Experience collaborating with senior stakeholders.
