We are looking for an experienced transactional attorney to be a part of the TMobile legal team that is dedicated to supporting TMobiles Corporate Strategy and Spectrum teams in M&A and venture investment work as they grow. TMobile has publicly announced billions of dollars of M&A transactions over the last year and will continue to pursue additional M&A opportunities. This positions primary role will be to provide informed riskadjusted and practical legal and business advice across the enterprise to the teams who engage in this work supporting the deal process from inception through closing and beyond. Recent deals supported by this team have been the purchase of two digital advertising companies with international footprints the proposed acquisition of wireless assets from U.S. Cellular for $4.4 billion and the proposed purchase of up to $3.3 billion in 600 MHz spectrum from Comcast.

What youll do in your role.

  • Drafting reviewing structuring and negotiating the various components of a wide range of stock and asset purchase agreements spectrum leases and spectrum acquisition agreements including associated term sheets disclosure schedules nondisclosure agreements transition services agreements joint venture agreements etc.
  • Drafting reviewing and negotiating documents associated with early round investments by TMobile in growth companies identified by TMobiles corporate strategy team including all associated documents associated with the applicable equity round.
  • Managing the governance of TMobiles joint ventures and advising on associated issues.
  • Working crossfunctionally across tax accounting regulatory privacy/cybersecurity HR and others.
  • General legal advice and creative problem solving.

The experience youll bring.

  • U.S. law degree and preferred 710 years of experience drafting reviewing and negotiating complex transactions.
  • Strong understanding of transactional law and experience with M&A and joint venture transactions generally.
  • Demonstrated ability to recognize and weigh business and legal risks think strategically and advance practical solutions.
  • Clientoriented interpersonal skills.
  • Toptier oral and written communication skills.
  • Excellent business judgment; and
  • Proven ability to excel working crossfunctionally with multiple clients in a fastpaced environment.

Candidates must be detailoriented and have the aptitude for and a strong motivation to obtain a deep and broad knowledge of TMobiles core business and associated services. Prior law firm experience with an M&A transactional team is optimal. Open to candidates who are willing to relocate.

    Base Pay Range: $144100 $260000

    Corporate Bonus Target: 20

    The pay range above is the general base pay range for a successful candidate in the role. The successful candidates actual pay will be based on various factors such as work location qualifications and experience so the actual starting pay will vary within this range.

    At TMobile employees in regular nontemporary roles are eligible for an annual bonus or periodic sales incentive or bonus based on their role. Most Corporate employees are eligible for a yearend bonus based on company and/or individual performance and which is set at a percentage of the employees eligible earnings in the prior year. Certain positions in Customer Care are eligible for monthly bonuses based on individual and/or team performance.
