Job Description

As Associate Corporate Counsel you will provide support to Nidecs MOEN division and Nidec group companies/affiliates located primarily in North and South America on legal matters.

Responsibilities & Duties

  • Drafting and negotiating a wide range of commercial agreements including master supply agreements with international and domestic customers and suppliers engagement letters with professional advisors software license agreements nondisclosure agreements commercial terms and conditions of sale and purchase sales representative agreements and distribution agreements.
  • Creating and updating standard form commercial agreements.
  • Analyzing and interpreting contract provisions to provide legal guidance to internal businesses.
  • Managing supplier/customer questionnaires on corporate governance and compliance.
  • Assisting the credit department drafting legal demand letters and negotiating payment plans.
  • Conducting legal research on various legal matters as they arise.
  • Providing support as needed to the Vice President of Legal Services and the Corporate Counsel.
  • Managing and delegating tasks as appropriate to outside counsel and team members within the law department.
  • Interacting and developing professional relationships with other members of the law department and internal and external stakeholders to support Nidecs business goals.
  • Developing and maintaining a database of contracts.
  • Other responsibilities as assigned.

Knowledge Skills & Abilities

  • Law degree (J.D. or equivalent) from an ABAaccredited law school ranking in the Top 50 of graduating class.
  • License to practice law in a minimum of one state (preferably Missouri).
  • Minimum of two 2 years of relevant work experience in drafting and negotiating commercial contracts with a law firm or inhouse legal department.
  • Merger and acquisition experience a plus. Employment law experience a plus.
  • Ability to prioritize work tasks to provide highquality work product to meet internal and external deadlines.
  • Strong computer skills including experience with Microsoft Office (Word and Excel) and Adobe Acrobat.
  • Ability and willingness to travel on occasion (less than 10 of the time).
  • Excellent business judgment and the ability to work closely with a variety of businesses and personnel to provide timely legal advice and drive practical business solutions.
  • Ability to work independently with high attention to detail strong organization skills and management focus.
  • Exceptional interpersonal communication and negotiation skills.
