Job Description

Position Purpose:

UPL seeks a qualified legal counsel to help us comply with all regulations and requirements. The Legal counsel will draft and manage legal documents oversee all legal aspects of our business and offer guidance and advice to management.

Reporting to: Head Legal Superform

Type: Individual contributor

Office: On site

Travel: As per requirements.

Key Responsibilities:

  1. Drafting/revising varied commercial contracts such as:
    • nondisclosure/confidentiality agreements.
    • memoranda of understanding/letters of intent/term sheets.
    • licensing agreements.
    • service agreements.
    • marketing agreements.
    • lease deeds.
    • supply and distribution agreements.
    • IT service agreements.
    • Standardisation of drafts; etc.

  1. Risk assessment and providing legal advice and mitigation strategy to the internal teams (listed below)

  1. Facilitating internal and external negotiations internally with teams in charge of:
  • manufacturing.
  • sales and marketing.
  • projects.
  • supply chain management.
  • IT.
  • property / commercial teams.
  • finance.
  • research & development.
  • HR and other departments.

externally with third parties (e.g. counterparties of agreements);

  1. Coordination with external legal counsels on litigation matters.

Qualifications & Experience:

  • Minimum 810years of work experience after completing LLB/LLM from a wellrecognized/reputed institute.
  • Preferably inhouse experience.
  • Candidates who additionally have litigation process/strategy experience would have an added advantage.

Key Skills:

  • Strong drafting and negotiation skills;
  • Excellent analytics abilities;
  • Effective verbal and written communication skills;
  • Ability to work independently and collaboratively with cross functional teams;
  • Good interpersonal skills and experience with serving as a bridge between commercial teams and internal legal team;
  • Ability to understand commercial priorities while performing legal roles and responsibilities.
