Legal Counsel

Job Summary

We are seeking a dynamic and detailoriented legal professional to join our team as Legal Counsel in Bengaluru officeonsite. The role requires providing comprehensive legal support to Cloud Software Group (CSG) including contract negotiation regulatory & statutory compliance extensive legal research work and will monitor changes in various laws as applicable to CSG including assessing their impacts on CSG. The candidate will work closely with internal stakeholders and external firms to mitigate risks and ensure compliance with applicable laws and regulations. The candidate will report to General Counsel India and will work under her guidance.

Key Responsibilities

Contract

• Draft review negotiate and finalize a variety of India and multijurisdictional commercial agreements including vendor customer partnership amendment agreement nondisclosure agreements (NDAs) etc.
• Ensure contracts align with organizational policies and applicable laws.
• Advising and preparing documents for bidding RFP RFQ such as MAF letters etc.

Legal Research

• Conducting extensive research on legal issues arriving at conclusions based on case laws judgements on any issues.

Compliance

• Monitor and ensure adherence to local and international laws industry regulations and company policies.

Regulatory Advisory

• Stay updated on relevant laws regulations and industry standards.
• Advise on the impact of new legislation on business operations.
• Liaise with regulatory authorities if required.

Corporate Governance

• Assist in entity management and compliance filings.

Strategic Support

• Support the General Counsel India on strategic initiatives such as mergers acquisitions divestments and joint ventures.
• Participate in crossfunctional projects to drive organizational goals.
• Support on any legal matters as and when assigned by General Counsel India.

Qualifications and Skills

• Bachelors degree in Law (LL.B) from reputed university. A Masters degree (LL.M) is preferred. Certifications in Corporate law M&A preferred.
• 46 years of relevant legal experience in corporate law M&A commercial law contracts Data Protection GDPR Privacy issues. Experience in an MNC or law firm is a plus.
• Preferred experience in IT/ITES sector.
• Exceptional drafting negotiation and communication skills.
• Ability to manage multiple priorities in a fastpaced environment.
• Strong analytical and problemsolving abilities.
• Ready and willing to travel for work purposes if required.
