Job Title: Senior Associate / Junior Partner Fund Formation
Location (Any of the following offices):Philadelphia Conshohocken or New York.

About the Role:
Our client is seeking an experienced Senior Associate or Junior Partner with a strong background in Fund Formation to join their dynamic team. The ideal candidate will have deep expertise in fund formation and complementary experience in one or more of the following areas: equity finance commercial agreements or general M&A. This role offers a unique opportunity to join a growing firm and make a significant impact within their corporate practice.
Key Responsibilities:
- Provide sophisticated legal counsel and representation to clients in fund formation matters.
- Assist with structuring negotiating and drafting fund documentation and related agreements.
- Offer guidance on equity finance commercial agreements and/or M&A transactions to enhance client service offerings.
- Work closely with clients to understand their needs and provide strategic solutions to achieve their goals.
- Collaborate with attorneys across the firms practice areas to deliver comprehensive legal solutions.
- Actively participate in business development and client relationship management initiatives.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the Bar in at least one of the states where the firm has an office or the ability to waive in.
- 6 years of experience in fund formation preferably in a large law firm or reputable boutique practice.
- (Nice to have) Experience in equity finance commercial agreements or M&A is highly desirable.
- Strong drafting negotiation and analytical skills.
- Proven ability to manage complex legal matters and provide practical businessoriented solutions.
- Entrepreneurial mindset with an interest in contributing to the growth of the firm.
- Excellent communication and interpersonal skills with a demonstrated ability to build and maintain client relationships.
