Ellsworth Corporation a global industry leading distributor of specialty chemicals and equipment and adhesive manufacturer currently has a Corporate Paralegal opportunity at Ellsworth Adhesives. This role is hybrid and reports into our Corporate Headquarter located in Germantown WI.

You will assistin managing legal and regulatory programs supporting transactional activities and maintaining corporate records.
RESPONSIBILITIES
- Prepares and manages corporate governance and organization materials including board meeting presentations minutes resolutions and corporate organization materials and filings.
- Develops maintains and administers a corporate filing calendar and checklist for the filings for each corporate entity.
- Coordinates review of law firm billings develops and manages law firm billing guidelines and ensures accuracy and alignment of law firm billings with budget.
- Assists with various regulatory certifications and surveys from customers and suppliers.
- Assists with filings and reports required by governmental and regulatory bodies.
- Reviews and revises nondisclosure agreements and other legal documents under the supervision of legal counsel. Manages the contract lifecycle including tracking deadlines and renewals.
- Assists with litigationrelated tasks such as responding to inquiries managing the litigation hold process assisting with document protection and coordinating communications with inhouse and outside counsel.
- Other related responsibilities assigned.

QUALIFICATIONS
- 3 years of experience as a paralegal required preferably in a law firm or corporate setting. Bachelors degree in Business Administration Finance or Law is preferred.
- Certification under the Wisconsin Certified Paralegal program through the State Bar of Wisconsin or certification under a similar program is preferred.
- Exceptional attention to detail and organizational skills.
- Strong knowledge of corporate governance and organization principles and administration.
- Proficiency in legal research tools and contract management software.
- Familiarity with entity management systems or other legal software.
