Job Summary
The General Counsel would serve as our legal advisor overseeing all legal regulatory and compliance functions. This role involves providing strategic legal guidance to the executive team and managing the organizations legal affairs. You will play a key role in governance risk management and contract negotiations and ensure that our organization operates within the law while supporting business objectives and safeguarding our corporate interests.
What you will be doing
1. Strategic Legal Counsel:
- Provide comprehensive legal advice to the CEO Board of Directors and management on corporate commercial and regulatory matters.
- Develop and execute legal strategies that align with business objectives and minimize risk.
- Develop implement and maintain effective legal policies procedures and practices to ensure compliance with all applicable laws and regulations
- Serve as the company representative in highlevel negotiations legal discussions and external stakeholder engagements including government bodies and industry associations
2. Regulatory Compliance & Governance:
- Oversee regulatory filings licensing requirements and legal documentation to ensure business operations remain compliant with local and international laws.
- Collaborate with internal stakeholders and departments to address legal concerns and ensure compliance with data privacy laws and adherence to all relevant regulations and corporate policies.
- Provide guidance on corporate governance and support the board in fulfilling its responsibilities.Stay abreast of regulatory developments advise on potential implications and ensure timely adjustments to policies and procedures.
3. Contract Management:
- Draft review and negotiate key contracts agreements and legal documents to protect our company s interests.
- Conduct periodic contract audits to ensure adherence to terms identify potential risks and recommend necessary amendments or renegotiations.
- Ensure that all contractual obligations are met by both the company and its partners vendors and clients mitigating potential disputes and liabilities and ensuring compliance with agreed terms.
4. Risk Management:
- Identify legal risks and implement strategies to mitigate these risks.
- Develop and implement risk mitigation strategies.
- Lead internal investigations manage litigation and manage dispute resolution processes.
5. Corporate Social Responsibility & ESG Compliance:
- Ensure compliance with environmental social and governance (ESG) standards.
- Support the implementation of initiatives that promote diversity equity and inclusion within the business.
- Engage with internal and external stakeholders including NGOs and community organizations to align CSR initiatives with social impact goals.
6. Corporate Transaction and Business Expansion:
- Provide legal counsel on mergers acquisitions joint ventures and other strategic business transactions.
- Conduct due diligence and ensure that all transactions comply with legal requirements.
7. Stakeholder Management & Reporting:
- Manage stakeholder relationships and address legal inquiries.
- Prepare and present legal reports risk assessments and compliance updates to senior management team.
Requirements
Special Skills and Qualifications
- Bachelor of Laws LL.B (Hons)
- 10 years post bar experience as a Legal Advisor in a corporate environment.
- Strong understanding of Corporate Governance Intellectual Property Legal Advisory and Compliance and Contract Management.
- Knowledge of regulatory compliance particularly in data protection. (e.g. GDPR)
- Experience with international laws and regulations
- Excellent legal research and analytical skills.
- Track record of driving strategic and innovative thinking
- Great communication skills and ability to communicate complex legal concepts effectively to nonlegal stakeholders.
- Strong negotiation and problemsolving abilities.
- Attention to detail and accuracy.
- Integrity and professionalism in handling confidential and sensitive information.
