About MCIS: MCIS Language Solutions is a notforprofit organization advocating for language access as a human right. We facilitate access to critical information and services by recruiting training and assigning language professionals. Using an innovative social enterprise model MCIS provides services in over two hundred languages to more than 1000 agencies including Domestic Violence Court programs Childrens Aid Societies Public Health Centres Legal Clinics and Police Services in Ontario. MCIS reinvests its revenue into activism free products and services and industry innovation.

As the largest notforprofit language service provider in North America joining the MCIS Social Purpose Nominations and Governance Committee (SPNG) presents a unique opportunity to contribute to strategy development advise on governance enhancements and collaborate on policies that align with the organizations purpose. This role is pivotal in fostering ethical leadership and maximizing social benefits.

MCIS SPNG Committee is looking for talented and enthusiastic professionals to join our Board Committees and contribute to our organization by assisting our Board of Directors and Management team to operationalize its strategic goals and operational purpose.

A Committee Member is a subject matter expert who is well informed about MCIS overall operations and the relevant Committees role and activities. While Committees operationalize the Boards strategic objectives they may offer the Executive Director support and counsel on daytoday operational matters. Committee Members serve in an advisory capacity to the Board.

We are looking for individuals who have expertise working in any or all of the following areas:

Nonprofit Governance or Purpose Governance
Government Affairs / Public Policy
Language Advocacy

Position: Committee Member MCIS Social Purpose Nominations and Governance Committee (SPNG)
Location: Remote
Commitment: Parttime Volunteer

Position Overview: MCIS SPNG Committee is looking for talented and enthusiastic professionals to join our Board Committees and contribute to our organization by assisting our Board of Directors and Management team to operationalize its strategic goals.

Duties: A Committee Member is a subject matter expert wellinformed about MCIS operations and the Committees role and activities. While Committees operationalize the Boards strategic objectives they may also support and counsel both the Executive Director and Director of Social Purpose Impact and Culture on daytoday operational matters.

The Committee has the responsibility to:
Operate within its terms of reference.
Serve in an advisory capacity to the Board.
Set the Committees goals and objectives and assist the Executive Director and staff in developing the operational plan.
Ensure that recommendations made to the Board of Directors are empirically sound and consider all relevant factors.
Individual Committee Members have a responsibility to:
Work on tasks that fulfill the strategic objectives of the Board for the specific committee.
Participate in a process that advises the Board on decisions related to the Committees expertise.
Take on timelimited projects that assist Management in fulfilling its operational objectives.
Be informed about the organizations mission services policies and programs.
Keep up to date with developments in the organizations field by seeking input from internal and external stakeholders.
Adhere to all relevant MCIS policies including conflict of interest and confidentiality policies.
Assist the Board in fulfilling its fiduciary responsibilities related to the Committees duties.
Attend all committee meetings functions and dedicated events such as the AGM adhering to the NonDirector Attendance Policy.
Review agenda minutes and supporting materials before committee meetings.
Suggest nominees to the committees who can make significant contributions to the Board and the organization.
Develop and maintain positive relations with Committee Board staff and community members to enhance MCISs mission and promote its interests and wellbeing.

Term: Committee Members serve for 2year terms with the option for renewal in accordance with MCIS bylaws. Committee Members may leave at the end of the elected term or resign prior to it. Committee members may be invited to apply for Board positions during their term.

Qualifications & Skills:
Ability to listen analyze think clearly and creatively and collaborate well with people individually and in groups.
Willingness to prepare for and attend committee meetings ask questions take responsibility and follow through on assignments contribute resources generously according to circumstances and open doors in the community.
Ability to evaluate oneself and develop skills if not already possessed such as learning more about the organizations substantive program area.
Possess honesty sensitivity to and tolerance of differing views a friendly responsive and patient approach communitybuilding skills personal integrity a developed sense of values and a sense of humor.
Knowledge and skills in the Committees area of focus nonprofit governance government relations public relations and language access and advocacy.

Evaluation: A Committee Members performance is evaluated annually by the Committee Chair and ViceChair based on the performance of assigned Committee requirements and duties.
