Job Description

Job Title: Corporate Paralegal
Job Location: Bridgewater NJ (Remote)
Job Type: Contract (possible conversion to fulltime)

Job Summary:

The Corporate Paralegal will provide comprehensive support for corporate governance subsidiary management and transactional matters within the organization. This role involves maintaining corporate records coordinating legal documentation assisting with board and shareholder meetings and ensuring compliance with regulatory filings. The paralegal will collaborate with internal stakeholders and external legal professionals to support various business functions including due diligence contract management and regulatory compliance.

Key Responsibilities:

  • Manage and administer the subsidiary management database.
  • Prepare and file corporate documentation including annual reports business registrations and name changes.
  • Draft resolutions and supporting materials for Board of Directors and Shareholder meetings.
  • Coordinate due diligence for corporate transactions such as mergers acquisitions and financings.
  • Work closely with international service providers and law firms to ensure proper and filing of corporate records.
  • Respond to internal and external inquiries related to corporate governance and compliance.
  • Support Know Your Customer (KYC) requests and other regulatory compliance matters.
  • Monitor and update director and officer lists.
  • Assisted in corporate recordkeeping and managed legal correspondence.
  • Support special projects and additional duties as assigned.

Qualifications & Experience:

  • Associate or Bachelors Degree in Paralegal Studies or a related field.
  • Minimum of 5 years of experience as a corporate paralegal with expertise in entity formation and corporate record management.
  • At least 2 years of experience administering a subsidiary management database.
  • Proficiency in corporate governance legal entity structuring and regulatory compliance.

Preferred Skills:

  • Strong knowledge of corporate law including incorporation bylaws and corporate filings.
  • Experience liaising with external legal counsel and regulatory agencies.
  • Proficiency in Microsoft Word Excel Outlook and legal database systems.
  • Excellent written and verbal communication skills.
  • Strong attention to detail organizational skills and ability to prioritize tasks.
  • Ability to work independently and collaboratively in a fastpaced environment.
