Summary
We are looking for an experienced M&A legal professional to join our legal team and play a key role in supporting M&A investment transactions and deal structuring across multiple jurisdictions. This position requires deep expertise in (i) English law or the laws of the AIFC; and (ii) Kazakhstan law along with experience handling crossborder transactions and international legal structures.
The ideal candidate will have a strategic mindset strong analytical and negotiation skills and the ability to effectively manage legal risks in complex transactions. Preference will be given to candidates with a background in toptier legal consulting although experience in large holding companies or investment firms is also valued.
Responsibilities
- Provide full legal support for M&A transactions including structuring conducting due diligence preparing and negotiating transaction documents leading negotiations and managing deal .
- Assess and manage legal risks associated with investments and acquisitions ensuring strategic risk mitigation.
- Advise on crossborder transaction structuring ensuring compliance with foreign legal frameworks and working with English law and AIFC regulations.
- Support investment projects by structuring transactions reviewing corporate and financial documentation and advising on regulatory aspects.
- Ensure compliance with Kazakhstan law AIFC regulations and international legal standards for corporate and transactional matters.
- Work with investment team external legal advisors financial consultants to facilitate smooth deal .
Requirements
- Bachelors or Masters degree in Law from a recognized university.
- LLM or an international legal qualification is preferred but not required.
- 57 years of experience in a toptier legal consulting firm (strong preference) or in a large holding company or investment firm (inhouse).
- Proven experience in successfully leading and closing M&A transactions including crossborder deals.
- Strong knowledge of (i) English law or the laws of the AIFC; and (ii) Kazakhstani law.
- Experience working with foreign jurisdictions and international corporate structures.
- Advanced analytical and negotiation skills with the ability to work under tight deadlines.
- Fluent professional English and Russian (both written and spoken).
