Summary
The Associate General Counsel will play a pivotal role and work closely with our Senior Leadership Team and AMG Group Corporate Counsel to navigate and address legal responsibilities and challenges while fostering a culture of positive teamwork. He/She is a strategic partner that will provide practical legal advice and guidance on a wide range of business matters while safeguarding the legal interests of AMG Vanadium through clear and concise communication with internal and external stakeholders. Associate General Counsel is a newly created position and will be the primary legal support to AMG Vanadium businesses with dotted line reporting to AMG Group Legal at its corporate headquarters.
Responsible and Duties:
- Lead by example and comply with all AMG V safety and environmental requirements policies and procedures including AMGs Business Code of Conduct.
- Embrace and promote the AMG V culture in all daytoday activities; foster and promote a positive respectful work environment that is aligned with AMGs values.
- Foster collaborative relationships with Senior Leadership functional area heads and Legal colleagues (internal and external) while ensuring alignment to organizational strategy values and principles including AMGs Code of Business Conduct.
- Represent the Company in a full range of legal matters including commercial agreements labor and employment intellectual property regulatory litigation and more.
- Engage in implementing the Companys business initiatives strategic plans and special projects alongside the Corporate Counsel as well as other members of Senior Leadership.
- Maintain expertise and advise appropriate department members regarding legal developments. Educate inform and regularly update Senior Leadership on relevant law changes that impact their work.
- Assistance with legal support of the AMG Vanadium Division businesses globally including corporate governance commercial agreements joint ventures and acquisitions/ divestitures. Serve as acting secretary to AMG Vanadiums management board overseeing corporate housekeeping matters at AMG Vanadium group
- Partner with Human Resources regarding various personnel matters policies and complex employee relations issues.
- Support and assist management to ensure compliance with federal and state regulations and rules that apply to the Companys activities.
- Review and advise management on the Companys rights and obligations. Draft review and revise customer contracts in negotiation and consultation with management and customers/vendors.
- Amend contracts after negotiations and consultation with customers/vendors.
- Mediate between opposing parties if there is a breach of contract.
- Track and execute contract renewals before the expiration date.
Qualifications/Skills/Requirements
- Juris Doctor degree from an accredited law school.
- 710 years relevant legal experience within a law firm or corporation some inhouse experience preferred.
- Excellent understanding of Federal and State Labor Laws (preferably Ohio).
- Experience with manufacturing and labor unions preferred.
- The ability to practice law in Ohio (required).
- Strong business acumen and understanding of commercial and financial implications of strategy development and .
- Flexibility and willingness to learn new areas and take ownership of a variety of legal matters.
- Effective communicator and possess practical problemsolving skills with a demonstrated ability to simplify complex situations and propose practical solutions.
- Demonstrated project management with the ability to work in a fastpaced environment.
- Ability to maintain a high level of confidentiality discretion and professionalism.
- Sound decisionmaking and ability to rapidly generate a high degree of respect and trust from various business leaders across the organization.
- Team player capable of leading up and down and collaborating with crossfunctional teams to meet key milestones and drive results.
