Job Description

POSITION : Board Secretary

REPORTING : CEO

LOCATION : Singapore

Position Summary

Our client is seeking a Board Secretary to support corporate governance compliance and board operations. This role works closely with the CEO and board members to ensure governance best practices regulatory adherence and efficient board administration.

This is an opportunity to contribute to a wellestablished nonprofit organization in Singapore by maintaining legal integrity organizing board meetings and providing governance support.

Key Responsibilities

  • Organize and coordinate board and committee meetings including scheduling agenda preparation document distribution and minutetaking.
  • Ensure compliance with regulatory and statutory requirements including ACRA filings and corporate governance obligations.
  • Maintain and safeguard legal documents statutory registers and corporate records.
  • Support the Annual General Meeting (AGM) by preparing financial reports overseeing director elections and ensuring compliance with regulatory requirements.
  • Provide corporate governance guidance to board members and assist in implementing best practices.
  • Collaborate with internal teams and external auditors by providing required governance documents and supporting compliance reviews.
  • Work closely with the CEO and executive team to ensure effective board communication and decision implementation.
  • Organize board training and development programs in collaboration with external partners.

Qualifications and Experience

  • Bachelor’s degree in Business Administration Corporate Governance Law or a related field.
  • 37 years of experience in corporate governance company secretarial duties or board administration preferably in a nonprofit or charity organization.
  • Strong knowledge of ACRA regulations statutory compliance and board governance frameworks.
  • Proficiency in Microsoft Office document management systems and virtual meeting platforms.
  • Strong organizational skills and attention to detail with the ability to handle multiple boardrelated tasks.
  • Effective stakeholder management and communication skills with experience interacting with board members and senior leadership.
  • High level of integrity and discretion in handling confidential governance matters.
