As a key member of Informas Group Legal and Governance team this role helps to deliver high-quality company secretarial services toInforma PLCand its global subsidiaries. The position offers a varied remit including deputising for the Deputy Company Secretary and requires a proactive autonomous professional comfortable with responsibility in aFTSE 100-listed environment.
Key Responsibilities
Governance & Compliance
- Deliver end-to-end governance and secretarial support ensuring compliance with:
- UKLA Listing Rules Disclosure Guidance and Transparency Rules (DTR)Companies Act 2006UK Market Abuse Regulation (MAR) and other relevant legislation.
- Maintenance ofrestricted/insider lists
- Preparation of dividend documentation andregulatory announcements(London Stock Exchange).
Subsidiary Management
- Oversee theglobal subsidiary portfolio including:
- Filings withCompanies House (UK)CRO (Ireland) and updates toDiligent Entities (Blueprint).
- Coordination ofBoard meetings(agendas minutes actions)appointments and statutory approvals.
- Management ofoverseas entitiesvia external service providers.
Corporate Projects
- SupportGroup restructuringM&A integrations andpost-acquisition compliance.
- Assist withInforma PLCs Annual Report drafting governance/remuneration sections and managing shareholder mailings.
- Leadstrike-off processesfor UK/Irish entities.
Board & Committee Support
Stakeholder & Systems Management
- Liaise withRegistrarsauditorsInvestor Relations andexternal designers.
- MaintainBoard portals (Diligent)and provide training toCompany Secretarial Assistants.
Qualifications :
- CGI (ICSA) qualified(ideally ACG/ACIS) withlisted company experience.
- Expert knowledge of:
- UK Corporate Governance CodeCompanies Act 2006MARListing Rules DTRs.
- Subsidiary governance in a large complexmultinational group.
- Proficiency inDiligent EntitiesandMicrosoft Office.
Key Competencies
- Autonomy: Ability to work independently manage competing priorities and deliver high-quality outcomes.
- Attention to Detail: Rigorous approach to compliance and documentation.
- Stakeholder Management: Confident liaising with Leadership Team advisors and cross-functional teams.
- Adaptability: Hands-on approach including to ad-hoc projects (e.g. notarisations regulatory queries).
- Excellent communication and stakeholder management skills across multiple jurisdictions.
Desirable
- Experience withVisio(for structure charts).
- Exposure tointernational corporate structures.
