Job Description

About the role:
This is a key position that involves high-level interaction with senior management board members and external regulators. You will be instrumental in ensuring seamless board administration accurate documentation and consistent adherence to corporate governance best practices. This role offers a unique opportunity to contribute to the bank s ethical and professional culture while supporting the highest levels of organizational decision-making.

  • Ensure the bank remains fully compliant with all statutory and regulatory obligations including the Companies Act and Bank Negara Malaysia guidelines.
  • Support the Board in carrying out their fiduciary responsibilities by facilitating director onboarding continuous learning and timely access to accurate information for informed decision-making.
  • Act as the primary liaison for all board-related matters engaging with directors shareholders and external parties when required.
  • Organize and manage board and committee meetings handling agenda preparation logistics and the accurate documentation and distribution of meeting minutes.
  • Maintain and update the annual calendar for board and committee activities and assist the Board and Nomination Committee with regular evaluations and director performance reviews.
  • Prepare and submit statutory filings board resolutions and other corporate documents with accuracy and within required timelines.
  • Stay informed on evolving corporate governance standards and regulatory developments offering strategic recommendations to strengthen governance frameworks and policies.
  • Lead the corporate secretarial function ensuring proper documentation management and adherence to internal policies.
  • Advise senior management and the Board on matters related to governance legal compliance and statutory responsibilities.
  • Work closely with internal departments such as legal risk compliance and finance to ensure consistent governance standards across the organization.
  • Track legal and regulatory changes evaluate their impact on the organization and initiate updates to governance policies and procedures as needed.
  • Serve as a key contact for regulatory authorities including SSM ensuring timely reporting and compliance with disclosure requirements.
  • Uphold accurate corporate records while maintaining confidentiality and safeguarding sensitive information.
  • Foster a strong governance culture built on ethical conduct transparency and integrity throughout the organization.


Requirements

  • Bachelor s degree in Law Business Administration or a related field.
  • Professional qualification such as ICSA (Institute of Chartered Secretaries and Administrators) is highly desirable.
  • Proven experience as a Company Secretary or Assistant Company Secretary within a bank financial institution or listed company in Malaysia.
  • Strong knowledge of the Companies Act BNM Corporate Governance Bursa Malaysia listing requirements and relevant legal and regulatory frameworks.
  • Familiarity with financial industry compliance standards and board governance procedures.
  • Excellent communication and interpersonal skills with the ability to engage confidently with senior stakeholders and board members.
  • High standards of professionalism discretion and confidentiality in handling sensitive information.
  • Strong organizational skills with meticulous attention to detail and the ability to manage multiple priorities under tight deadlines.
  • Proficiency in MS Office (Word Excel PowerPoint) and corporate secretarial software.
  • Fluent in English and Bahasa Malaysia both written and spoken.

Bachelor s degree in Law, Finance, Business management, or related field Minimum 2 years of fund house experience Strong knowledge of legal and regulatory requirements, including but not limited to the Anti-Money Laundering Act, Capital Markets and Services Act 2007. Familiar with Labuan regulatory framework is highly preferred. Fluent in both written and spoken English and Mandarin Fast thinking and resourceful Strong problem-solving and critical thinking skill Ability to stay up to date with the latest legal and regulatory developments Keen awareness of Malaysia, Singapore, China and Hong Kong s business environment, regulatory changes, and updates Preferably with CFA qualification
