Job Description
- Provide strategic tax advice on a broad range of domestic and crossborder transactions including mergers and acquisitions joint ventures and private equity transactions.
- Structure and analyze the tax implications of leveraged finance and capital markets transactions including debt and equity offerings.
- Advise clients on the tax aspects of corporate reorganizations spinoffs and divestitures.
- Work with clients to optimize tax efficiencies in complex transactional structures while addressing business constraints. Collaborate with other practice groups to deliver seamless multidisciplinary support on highvalue transactions. Draft and negotiate taxrelated provisions in transactional documents.
- Conduct legal research and provide opinions on complex tax issues including those requiring IRS guidance.
